Hi UncleBobby,

Say this prediction comes through - Keppel Corp merges with SMM - and SMM is delisted from SGX, how will it affect shareholders of SMM? Will they be offered a premium for existing holdings?

I' m considering if it works out for shareholders to purchase SMM shares now and await for the possible merger (and of course the possible gamble that the O& G industry will recover in the short-term).

We must see the bigger picture with a slightly longer horizon

The whole point of this exercise must be taken in context than sembmarine is separately cleanly from sembcorp

Temasek has taken control of Kep Corp previously

Sembmarine is spore strategic asset and it will do the country good to combine both sembmarine and kepcorp

With this exercise , i wld think it?s easier for temasek to merge the new standalone sembmarine w kepcorp at a later date

Just my two cents

Temasek is not a pure Private Ltd . It often has to do national service

So I am not looking to sell my sembmarine at a cheap now among all this panic but looking forward to temasek delisting sembmarine in the future

Sembcorp Marine had S$4.40b of debt, at December 2019, which is about the same the year before. However, because it has a cash reserve of S$405.1m, its net debt is less, at about S$4.00b.

SGX:S51 Historical Debt, February 22nd 2020

According to the last reported balance sheet, Sembcorp Marine had liabilities of S$2.87b due within 12 months, and liabilities of S$3.38b due beyond 12 months. Offsetting these obligations, it had cash of S$405.1m as well as receivables valued at S$1.96b due within 12 months. So it has liabilities totalling S$3.89b more than its cash and near-term receivables, combined.

The deficiency here weighs heavily on the S$2.51b company itself. Shareholders need to watch this one closely.

Yah think this deal not so good for SMM - 5 for 1 rights issue is quite horrible. So those who do not want, will sell their SMM shares at market open.

SembMarine will undertake a 5-for-1  rights issue at an issue price of 20 cents per share

In that situation, you left with no chocie but to just sell the allocated amount of rights during the right share trading week. Then you realize the Sembcorp Marine R is like 5 cents or 9 cents, you won' t take back much money either. Jia lat man....

For cash holdings, it' s fine, you can easily buy the rights shares.

You will hit the problems if you buy using CPF OA account or SRS accounts.
You will soon realize you do not have enough funds in the OA and SRS accounts to subsribe the rights shares and you lost out the opportunities to average down purely because you do not have allowable suffiient funds in that 2 accounts. Check yours.
