I believe the MOU states the valuation will be based on Discounted Cash Flow of both firms. So unlikely to use Book Value alone. Its a complex transaction so maybe a combination of both. With regard to the book value as per google even if correct its subject to change based on any contract wins between now and month end or merger

I like your optimism but we do need few pauses along the way for profit takers, that said we could also have gap ups. Either way news flow would be the key driver.
The best Management can do now is to tickle down good news
