MEMORANDUM OF UNDERSTANDING ON WASTEWATER TREATMENT PROJECT IN SAUDI ARABIA
The Board of Directors (the &ldquo Board&rdquo ) of Shanaya Limited (the &ldquo Company&rdquo , and together with its subsidiaries, the &ldquo Group&rdquo ) is pleased to announce that its wholly-owned subsidiary, Shanaya Environmental Services Pte Ltd (&ldquo SES&rdquo ), has on 8 January 2025 signed a non-binding Memorandum of Understanding (&ldquo MOU&rdquo ) with The Environmental Projects Cooperative Association (" EPCA" ), Green Smart Solutions Company (" GSS" ) and Qingdao EVU Environmental & Engineering Equipment Co., Ltd. (" QDEVU" ) (collectively, the &ldquo Parties&rdquo ) to study the feasibility of developing a suitable pilot plant for wastewater treatment (&ldquo Pilot Plant&rdquo ) and identify potential market for the construction, ownership, operation, transportation and/or sale of multiple systems surrounding the Pilot Plant in the Kingdom of Saudi Arabia and the Middle East.. Under the MOU, SES shall provide, in relation to the Pilot Plant project, the technology, design, technical support, business plan, expertise in waste management, knowledge transfer, referral to wastewater treatment industries, support in business development, investment, fundraising, selection and training of personnel for waste collection, sorting, treatment and safe disposal. EPCA is a Saudi-based for-profit environmental association under the Ministry of Human Resources and Social Development with whom SES had previously collaborated to explore opportunities of establishing an integrated cruise and ship waste management and treatment facility near to the Jeddah Islamic Port in Saudi Arabia, as announced on 30 May 2023. The association comprises a group of environmental experts and Saudi businessmen with the aim of participating in the sustainable development of environmental consulting services and vocational training. These activities include renewable energy, climate change, waste recycling, combating desertification, wildlife, and environmental rehabilitation, in accordance with the Kingdom of Saudi Arabia' s Vision 2030 and other regulations in force in the Kingdom. The role of EPCA under the MOU is principally that of facilitating and providing business cooperation, business development and consultancy services for project implementation, including sharing its extensive marketing network and introducing key customers and industrial partners. GSS, a company based in the Kingdom of Saudi Arabia, specializes in environmental services and providing technical solutions for wastewater treatment projects in the Kingdom of Saudi Arabia. Under the MOU, its role mainly focuses on the final assembly of the Pilot Plant for demonstration in a suitable facility, registration of the brand and patent, and delivery of the Pilot Plant to target customer' s facility for the purpose of sales, marketing and promotion of the wastewater treatment plants. QDEVU is a China-based company which manufactures wastewater treatment systems with more than 20 years&rsquo experience in providing solutions on various water issues. Its role under the MOU requires it to, manufacture, test and deliver a Pilot Plant to GSS, as well as providing technological expertise and personnel training for operating the Pilot Plant. The cooperation among the Parties shall be for an initial period of six months from the date of the MOU (&ldquo Project Term&rdquo ) prior to entering any joint venture agreement thereafter on fresh terms and conditions to be agreed upon. Each Party shall bear its own cost in respect of completing its business plan during the Project Term. The Group&rsquo s entry into the MOU is not expected to have a material impact on the earnings per share or net tangible assets per share of the Group for the current financial year ending 31 December 2025. None of the directors or controlling shareholders of the Company has any interest, direct or indirect, in the MOU, save for their respective shareholdings in the Company (if any). The Company will make such further announcement(s) to keep shareholders informed, as and when there are material updates or developments in connection with the MOU, including the signing of any definitive agreement in relation to project(s) to be undertaken under the MOU&rsquo s framework.
