Two A-Sonic Aerospace directors exercise bonus warrants, market cap to get boost
TWO directors of aerospace and logistics firm A-Sonic Aerospace - which has been on the Singapore Exchange Watch-list since June 2017 - have exercised their bonus warrants, which could hoist the company' s market capitalisation above the S$40 million threshold.
According to a filing to the Singapore Exchange, majority substantial shareholder and director Janet Tan exercised some 8.44 million bonus warrants, while director Irene Tay exercised 224,450 bonus warrants. These will be converted into a total of some 8.67 million new ordinary shares.
With this, the enlarged share capital of A-Sonic Aerospace will go up to about 67.15 million shares on or around Jan 21, rising from about 58.48 million shares presently.
Assuming the company' s shares trade at S$0.605, similar to their closing price of S$0.605 last Friday (Jan 14), its market cap would work out to about S$40.625 million based on the enlarged share capital, the company said.
However, it would need to maintain its market cap above S$40 million for 6 months in order to apply to the Singapore Exchange to be removed from the SGX Watch-list. " This and other factors prevailing in the future may affect the company' s exit from SGX Watch-list," the company said.
Meanwhile, there are still another 5.95 million or so bonus warrants held by other shareholders, which can be exercised to new ordinary shares in the company between Jan 15 and Apr 8.

The majority substantial shareholder and Director, Ms Janet Tan, had 8,446,306 Bonus Warrants as at 14 January 2022.
Another Director, Ms Irene Tay, had 224,450 Bonus Warrants as at 14 January 2022.
On 15 January 2022, each of the above two (2) Directors (collectively known as &ldquo Two Directors&rdquo ) has exercised an aggregate of 8,670,756 Bonus Warrants, and these are to be converted into 8,670,756 new ordinary shares.
After the exercise of the Bonus Warrants of the Two Directors, the enlarged share capital of the Company will increase to 67,150,052 shares on or about Friday, 21 January 2022, from the existing 58,479,296 issued shares as at the date of this announcement.
The conversion is already announced on SGX, and we are reminded periodically, and all shareholders would have received official reminder by now. So, I don' t think it' s this news. There has to be something bigger. Otherwise my girlfriend Janet would not be so free to text me at midnight to advise me...

To get mkt cap of $40M need to convert the wrt into shares but no benefit for other share holders since mother share price is just the same as wrt price plus exercise price...unless she push up mother price for us to exercise with a profit...

considering that insiders cannot buy any shares in their company 2 months before the release of annual financial results,
Janet could be winking to me that something positive is coming out of the results. Because these few days before year end, 
is the last opportunity she can buy before release of results on the 1 March. She said that if the results are super good,
she is going to make very strong case to apply for exit of watch release. This time she said she is very " determined" .

(i)  Profitable and paid / declared dividends for the last 3.5 years,  since FY 2018, FY 2019, FY 2020 and first six month ended 30 June 2021
(ii) Net Assets (Attributable to Equity holders of the Company) ( or Net Book Value) of S$52.601 million (or US$39.132 million)  as at 30 June 2021.
Despite the above, we  remain on the SGX watch list,  solely  because we have not achieved an average daily market capitalization of S$40 million. In this regard, potential share investors may still stay on the sideline due to concerns with the watch-list status and potential delisting, despite improved financial performance and position. Fund managers and investors are either unable, unwilling, or unlikely, to invest in a Company with the watch list stigma.
Update on Financial Results
For the first six (6) months ended 30 June 2021 (1H 2021 ) compared to the previous corresponding period ended 30 June 2020 (1H 2020), our Group achieved:
(i) an  increase of US$73.779 million (62.1%) in Turnoverto US$192.576 million in 1H 2021, compared to US$118.797 million in 1H 2020
(ii) an  improvement of US$3.493 million in Operating Profit  to US$3.356 million in 1H 2021, compared Operating Loss of US$0.137 million in 1H 2020
(iii)  higher consolidated Net Tangible Assets (NTA) of US$39.132 million  (equivalent to S$52.601 million) as at 30 June 2021, compared to US$36.241 million as at 30 June 2020 and
(iv) a  reduction in bank gearing to 0.3  as at 30 June 2021, compared to 4.8 as at end 30 June 2020. In summary, our operating performance improved in 1H 2021, compared to 1H 2020.
Our Operating Profit excludes once-off non-recurrent items. In 1H 2020, an aggregate of  US$3.857 million one-off gain which resulted from the divestment of an associate company, that was not present in 1H 2021.
Additionally, the  government grants from the various 2 countries that we operate in, reduced substantially (56.5%) in 1H 2021, compared to that in 1H 2020.
Despite the continued challenging global economic condition arising from Covid-19 in 1H 2021, we recorded:
(i) Profit Before Taxof US$4.441 million
(ii) Net Profit After Taxof US$4.044 million and
(iii) Net Profit Attributable to Shareholders of Parent Company of US$3.243 million

If I were pretty jenny, I would just make an offer to acquire A-SONIC AERO shares at 1 dollar.
This would cost me less than $40 million (given that I already own 55% of the company) and I get the cash pool of $40 million, international plaza property worth $10 million, core business, and other properties and more...

Based on the information memorandum prepared by the collective sale committee, the indicative independent third party market valuation of its office units was  S$6.6 million, above the carrying value in its accounts of around S$1.4 million, as at June 30, A-Sonic said.

You can see that the warrant is now trading at only 5% discount to mother share after taking into account the  exercise price of 0.08 c. So it' s a sign that the mother share is worth more than its weight in gold. By the way, pretty Janet text me to correct me that  you can only exercise your warrant only in January next year. Now you can only trade your entitled warrants at market value if you want to.
