Yes agree. Reasoning in this case is just a waste of time.

Some of them are envious and try to wear winners like us down to their level of misery.  Let us continue to be joyful here and ignore losers who try to dampen.  If they discuss with facts and logic, we discuss with them.  If they resort to lies and factless insinuations, just ignore them

So many of us hold KC, since 8-10, some even 11+, all waiting for redemption 😉 👍 👍 👍

U r right, bad stocks did made me sleepless early this year.
Finally decided to cut loss and sold all the bad ones, very painful for me.
Then got some better ones and managed to cover some loss.
Now on the road to recovery, still got some way to go but at least no more sleepless nights |

Saw your post and took out both KC and SCM past 5 years charts.
After studying the charts, just bought KC shares.

This is also a true story, I keep SM only to vote NO to the merge. Even if the merge get through, I can run faster before Bayberry form and wait to buy in the Keppel without KOM after the demerge 😜

There are also reasons why NOL continued to make losses and had to be sold to CMA.  This shd be a case study for all aspiring to be CEOs

Agree with you.  There are reasons why a blue chip, like what SCM was, became a penny stock.  If TH doesnt help SCM, it will remain a penny stock, regardless how the minority SHs feel

| KOM' s announcement on the13th Sept 2022. Bayberry will have to pay up this USD126.2 million claim after merger.  Instead of settling it now, KC is trying again  to kick this USD126.2 million can over to Bayberry, very much like the $73.2 million CIPB fine.  So before Bayberry can start biz, have to pay $500mil cash to KC, $73.2 million to CIPB and USD126.2 million to this unknown claimant.

Above taken from SCM' s thread under `Better to vote No for merger'
To be a bit more fair and upright in its dealings, shouldn' t Keppel offer to pay for all these fines herself  despite the terms of the merger since she was responsible for them instead of trying hard to push it to ' someone else' ? Where is the integrity?  Quite dismayed by its behaviour.
Disclosure :  No holdings in both SCM and Keppel. |

Well said, FATABA.
As mentioned before, TH, KC, SCM, JPM and CS had long and thorough discussions.  They knew what KOM and SCM have, their plans, their liabilities, etc.  Minority SHs who said KC pushed whatever fines or penalties KOM are liable for to Bayberry are naive.  These wld have been featured and factored in during the discussion, deliberations and negotiations.  It is after factoring in all these liabilities that the team conclude that the following are fair and equitable:
1. Bayberry pays KC $500m
2. KC SHs get 18 to 23 Bayberry shares in specie for every KC share they hold
3. 1 SCM share becomes 1 Bayberry share.
Anyone who think above are not fair has a choice to vote " No" to merger at the EGM.
Baseless and mindless accusations lead to nowhere except frustration for the accuser.    Logical and clear mind is preferred to wild accusations

Firstly I see that you are using a new member name and claim YOU have no holdings in both SCM and Kep.
FOR BETTER or WORST ....dont read this person post without thinking deeper his objective and how DEEP has he dived into SM ...after 2 rights issue.
Any company w any legal issue would not pay up till all possibke legal issue are expore and till the final decision . ( any delay is good for the company bottomline is it not )
Further WHY ? have you not ask CIPB allow this delay ? ( if 100% Kep have to pay ? ...there must be some legal allowance right ...not up to them ? )
Also you assume that SM and KOM didnt include this in the discussion ? ( NO clause to cover any other cost in their agreement ? LOL dont you ever think contracts are decided like this )
Honestly ...I hate it when someone quote a statement for nobody basing on his personal view and assuming all is right ?  Go from SN forum and put it here for KEP forum readers?
Truly ...and IF anyone own Kep share here ....would be laughing that SM mgt is so stupid to agree is TRUE ?
So before you conclude and quote that person bias input .....read and reTHINK in detail why and what he said .
Rest my case ( unfortunate that the SM forum unhappiness has come into Kep Forum ) .

Agree.
No one here knows SCM and KOM better than TH, KC (KOM), SCM, JPM and CS.  I trust what the team say.  Anyone here who claims they know better than the negotiation team is deceiving himself
