Raffles Education: Signing of SPA for sale of one of its China' s education business for S$76m
 
The total consideration for the Proposed Disposal is RMB 426,444,157 (approximately S$76million the &ldquo Total Consideration&rdquo ). The Total Consideration comprises:
 
(a) The Buyer&rsquo s assumption of the Sellers&rsquo liabilities owed to the Target Company and the College amounting to RMB 314,444,157 (approximately S$56million the &ldquo Sellers&rsquo Liabilities&rdquo ) and
 
(b) A cash payment of RMB 112,000,000 (approximately S$20million payable by the Buyer to the Sellers (the &ldquo Total Payment Amount&rdquo ). 
 
Net cash inflow to the Group, after deducting all estimated taxes (RMB 50million approximately S$ 9million) and including estimated expenses, is RMB 62million (approximately S$ 11million).

The financial effects of the Proposed Disposal on the consolidated net tangible assets and earnings per share of the Group for the current financial year will be announced in due course upon the signing of the Definitive Agreement
