ACQUISITION OF THE REMAINING 30% INTEREST IN A SUBSIDIARY
The Board of Directors of SATS Ltd. (the “Company”) wishes to announce that the Company has acquired 540,000 ordinary shares, representing a 30% shareholding interest in the capital of Aerolog Express Pte Ltd (“AEPL”) for a consideration of S$80,227 from YCH Group Pte Ltd. The acquisition was completed today.
The consideration was arrived at on a willing buyer willing seller basis, based on the audited net asset value of AEPL as at 31st March 2011. The audited net asset value of AEPL as at 31st March 2011 amounted to S$267,425. Following the acquisition, AEPL will be a wholly-owned subsidiary of the Company.
The above transaction is not expected to have any material impact on the Company’s net tangible assets and consolidated earnings per share for the current financial year ending 31 March 2012.
None of the Directors or controlling shareholders of the Company has any interest, direct or indirect, in the above transaction, other than through their respective interests (if any) in the Company.
