Good qns. I am also puzzled by the presentn note. Anyone on this?

In pg 5 , it mentioned the new pty is close to 596.8 euro (aus 1 bil ). However , after adjusted for net assets and liab, the transactional purchse price is only 316.2 mil euro.

The funding required is euro 316.2 plus some tx fees.

Looked through the presentn note,

Pre-acq 615mil. 30.9%
Post-acq 1079 mil 36.8%

With the above, i deduce that it plans to raise 464 mil through bank borrowing or bonds. ( total 529.8 mil req)

So, the rest 65.8mil through combination of pte placement and pref share.

I think its a better choice that they acquired european assets than aust as it diverisfy their forex risk

Well,... I noticed something here too,... the gearing ratio jumped up a lot,... to 36% after everything has been completed,...

Bro, my avg price almost similar as u. Be more positive, to you this is considered as low risk, while the newcomers may have to wait further dividends to get backmore returns.

So far, this reit mgr has been very steady in theirmgt style and cost control. I hope they dont be short sighted and rush to acquire more propty for the sake of going big.

All reits will have to face the rising interest rate, the worst hit will be those having assets/properties in the US region . FED confirmed to have another 2 and even 3 interest rate raise.

So far flit has been prudent in borrowing and not rushing to acquire more assets. quite happy with the dpu distributed so far.

if we dont have confident in the reit mgr, we shld not be holding on to the share.

Yeah,... agreed, it' s a good deal. It' s going to be a preferential offering (hopefully), which means it is a Non-Renounceable Offering, either we take it or we leave it,... and the ' Rights' Units can' t be sold in the open mkt. And, if we reject it, our holdings will be ' diluted' .

The current price is $1.08. This price is too far from my average price of 96 cts. The discout given will probably be not too much, hence, say,.. till $1.04.... and after taking the preferential shares, my Average Price will ' go up' , which will lessen my yield.

If reject - diluted.
If accept - yield lessened.

Not too good for someone with an Average Price like mine,...

It is either a placement and/or preferential offering to existing unitholders (which means rights I think?).  Almost all the 21 properties are freehold (except one)  and it is yield accretive so I like the deal.  Also, seems like the bulk will be debt funded (ie approx S$400million???), so less likely to be too dilutive.

Based on the presentation, it' s not Rights Issue, but it' s Preferential Offering that may be offered. The price dropped today by 2 cts from 1.09 to 1.07 now,... MKt does not seem to ' like this' acquisition.

Not necessarily difficult for me though it might be difficult for the REITs. Reason being my average Buy price is very low,... I can still withstand price drops,...
