The draft restructuring plan involving New Yangzi proposed investment into Shanshan Co. was not approved.

Bro HVRRVH, thanks for explanation.  Yes, you are right!  A rights issue is still possible after the spin-off if it is initiated by YZJM. I was just confused about how YZJF could conduct one after the spin-off, since I recall that Snr. Ren wanted to offer a rights issue to benefit YZJF shareholders who continue to hold their YZJF shares after the separation.

Say if YZJF is trading at $1.5 now, after spin off, since both YZJF' s and YZJM' s NAV is rather similar. i.e. $0.54 and $0.58 respectively, therefore, after spin off, the respective share price should be $0.75 and $0.75 and the rights issue price will not be too far off from $0.75. So we don' t want share price to go too high if we want to add shares via rights issue at cheaper price. After spin off YZJM can make their own decision whether to have a rights issue or not.

For now, I' ll assume there is no rights issue after spin-off.  I could be wrong but I doubt YZJF can provide a rights issue for YZJM after spin-off, as they are two separate entities?

You wouldn' t want the price to go up too much if there is a rights issue shortly after spin off. The intial news flow were indicative of a rights issue, a sum of $140m was even mentioned but there is no guarantee. Just like private placement, at first said dilution of more than 20% and a sum of $250m is expected to be raised. In the end, only raised $5.2m and hardly any dilution.

Look like there is not much hope for better prices before the XE date. Hopefully they will release the Q3 results after the split to keep both YZJF and YZJM share prices steady. I will keep all my current YZJF holding for the split unless there is a very attractive price offered tmr.  All the best to all! Huat ah!

I have to admit I have done this but not to the extend of 1/2 holdings. Not even 1/4. Just a fraction to ensure that the rest of the holding is in a very fightable and even no lose position. As it is, post spin off my average cost for YZJF is about 30% below its NAV without factoring dividends received in FY23, 24 and 25. I am confident to go in again if for some reasons, YZJF is attacked all the way below $0.40 like in 2022. As for YZJM, I think it should hold placement value i.e. $0.6 and fight it way up from there. Similarly, if it come down fast and furious to below $0.5 or even lower, I am ready. 1 more trading day before XE, let' s go!

those who sell 1/2 holdings to lock in profit is the real strong holders. their cost is zero and probably the realised part alredy in the money. to them no need to sell anything post spin off.
i still wonder at what price the marine shares will trade if not enough seller.
as usual the pro shorty will try to block the upward pressure post spin off. just wonder
the bull operator will do what. will they force a yzj marine open at 80cents and 1 cents up every week to belly up the shorts?

pro shorty done it from 120 downwards. as the view then was extended price gain already.
so their view is need to correct. so they force it down.
now is 1.05 level much of the strength of price up already digested. ie those real want to
take profit probably done. those sell so that got money to scoop up yzj maritime and maybe cheap yzjfh post spin off. probably also done.  those not sure so much profit take 1/2 first probably also done.
so shoting now is a bit too late. only helping those early shorts to cover.

Say u short YFH before XD at 105, when XD YFH drop to 45, you gain 60. When Marine starts to trade and open at 70, you lose 70. Net effect is lose 10 if you manage to close both at opening price. Cfd is highly leverage, so be extremely mindful during this kind of corporation action. Siao siao later all go up instead of down then you will find yourself in a difficult position due to margin call.

So when FH down 60c you gain while if Marine start trading at 70c you lost 10c ?....

Segarvale      ( Date: 05-Nov-2025 20:13) Posted:

Corporate actions work the same way in cfd. When u short the parent company , after XD you will get the spin off company entitlement. Parent company share price will drop and you get to profit the difference. For spin off company during trading day, you will lose on the difference because this spin off company is deemed as shorted shares as well, ie, spin off shares at zero dollar and now market price goes up during trading day

Guys, I have a question. If i use CFDs to short YZJFH, wouldn' t I technically be able to make the price difference come 18/11 when the price drops? Does it work this way?

Check with your broker that do the CFD as margin call might be trigger and force you to make up difference or auto sell at loss. This is especially if your leverage is high.
I will not try to CFD during a spin off if I were you. dyodd

2 seems very likely? Short big time now and buy back at lower price since the chances of going down is very high.

Just my personal views

tch77_pt75      ( Date: 03-Nov-2025 17:38) Posted:

Four possibilities (1, 2, 3 and 4):

1- buy now if both (YZJ Marine & Financial Holdings) are anticipated to go up OR

2- Sell now if YZJ Financial Holdings is anticipated to go down, and then buy YZJ Marine on the first trading day itself.

3- Hold or buy now if the anticipation is that the sum before and after the spilt of YZJFH and Marine are the same.

4- Sell now if the anticipation is that
both will drop after the spill off since YZJFH dropped over more than 50% during the initial days when first listed and just got recovered this year.

From the past history and current last 4 weeks or trending, it seems to imply 2 is likely and 4 is very likely. Maybe big funds not very confident of how the future will be like for these 2 funds!

Right or wrong, once spilt, we will know. Also, Ren is no longer the YZJFH Chairman, there might be some tell-tale sign, which I think moving forward, the price will not be good (just like when Vincent was the CEO).

Just my view on this counter.
