OBS just wants to get more than 50%. Peter Fu ( son of Peter Fu senior) is holding another 29%. Since Peter Fu and OBS are not on talking terms, I doubt Peter Fu will hand the shares over to OBS. This is a hostile move by OBS. After the exercise os concluded, if OBS owns more than 50%, there is a great chance that OBS will launch some business and company restructuring. Hopefully, that will unlock value for shareholders. OBS is not getting any younger. If he wants to do something, he has better do it now. Time is running out.

MANDATORY CONDITIONAL CASH OFFER FOR HOTEL PROPERTIES LIMITED &ndash

SECOND REVISION OF OFFER

 

2. Second Revision of Offer Price

The Board wishes to inform Shareholders that Standard Chartered Bank, for and on behalf of the Offeror, has today released an announcement (" Second Revision Announcement" ) in which it is stated that the Offeror has agreed to acquire 6,696,600 HPL Shares, representing approximately 1.29 per cent. of the HPL Shares1, at the price of S$4.05 for each HPL Share.

In accordance with Rule 14.3 of the Code, the Offer Price will be revised to S$4.05 in cash (the " Second Revised Offer Price" ) for each Offer Share.

In addition, the Offeror will NOT be deducting the FY2013 Dividends from the Second Revised Offer Price and Shareholders will retain the benefit of the FY2013 Dividends to be paid by HPL to entitled Shareholders.

If any Distribution (other than the FY2013 Dividends) is declared, paid or made by HPL on or after the date of the First Revision Announcement and the Offeror is not entitled to receive and retain such Distribution in full in respect of any Offer Share tendered in acceptance of the Offer, the Offeror reserves the right to reduce the Second Revised Offer Price payable in respect of such Offer Share by the amount of such Distribution.

According to the Second Revision Announcement, the Offeror does not intend to further revise the Second Revised Offer Price of S$4.05 for each Offer Share. Therefore, in accordance with Rule 20.2 of the Code, the Offeror will not be allowed to subsequently increase the Second Revised Offer Price in any way.

HPL used to trade $6 or higher !! $4 is a steal considering the orchard crown jewel FH land !

no $6 no sell ! Tell OBS & Peter to revise higher again !

Very steady..... everyday it goes up by 10c.

BS may have to offer higher than $3.50..... maybe $5 then minority shareholders may sell to him.

Takeover price for Hotel Properties raised to S$4 / shr

THE offer price for shares of Hotel Properties Limited (HPL) has been revised to S$4 a share from S$3.50 a share.

This was after 68 Holdings Pte Ltd, a company owned by hotelier Ong Beng Seng and Wheelock Properties, agreed to buy 17.1 million shares representing 3.31 per cent of HPL at $4 each.

As at 9am on Wednesday, 68 Holdings and its concert parties already own about 46.39 per cent of HPL.

On top of that, it has also received acceptances for 691,950 HPL shares, or 0.13 per cent of HPL issued shares.

OBS is happy as long as he has control so nobody can foil his big plans.

Maybe HPL and Wheelock will jointly inject assets into a hospitality cum retail reit. It could potentiall be valued at more than $2 billion dollars for their portfolios

I think its the stars that have aligned.

 

Wheelock recently took a hit on residential project, make them more agreeable to joint venture. HPL super long time Chairman step down last year, sure to have some impact/revelations for OBS and his board of directors. But most importantly, Concord Hotel is now fully under HPL control as stated in its latest annual report.

Wheelock and OBS probably have decided to redevelop the Orchard Belt.

 

But perhaps Peter Fu was not agreeable or his late father said stay put. Or he may insist that any redevelopment must go through his family vehicle Kuo International.

 

So there is a split of opinions within HPL, and the wrestle of control is happening now.

Yes.. good time to pick up Wheelock which give 6 cents dividend consistently over the years without fail. It should move above $2 this year.

I believe there will be a rival offer from Peter Fu family. Maybe $4.50?
