Why 30 Apr 2025 for the instruction of the transfer of shares:

" The Board wishes to announce that all the conditions precedent for the completion of the Proposed Transaction have been fulfilled or waived, as the case may be. Accordingly, pursuant to the terms of the SPA, completion of the Proposed Transaction has taken place on 30 April 2025 (" Completion" ), and the Target is now a wholly-owned subsidiary of the Company. "

A quick explanation for you. This 500m GRC shares are ultimately owned by the Tangs couple.
In the first instance, it was held under Haiyi Holdings (owned by the Tangs couple). This is prior to the acquisition of Chip Eng Seng.
After acquisition of Chip Eng Seng, the Tangs couple held shares in GRC under both Haiyi Holdings and Tang Organisation.
Haiyi Holdings (the Tangs couple) had then transferred this 500m shares to Tang Organisation (formly known as Acrophyte Pte Ltd). Tang Organisation is also owned by the Tangs Couple.
Essentially, this transfer is the rationalisation of their share holdings in GRC. A consolidation into a single entity owned by the Tangs couple.

For the share transfer, there is a need for consideration (in layman meaning, a sale and purchase price). Since this is effectively a Left Hand to Right Hand situation, the consideration had been declared to be just 10c for the whole lot 500m shares. This nominal consideration is common for such transfer of shares, etc. where there is no change in the ultimate (underlying) ownership.
Some legal principles involved.
But essentially, in layman, there is no real sale or purchase of shares for this particular announcement.
