It will be nice if some accountant can work out how much divestment proceeds left after settling off the bonds and debts whatsover, rather than to assume the integrity of the promises made

 

I revisit the result briefing on 27 Feb , it shown in the Blanc and white slight also .not just words from Sunny ! Olam just have to honour

 

If management' s promises turn out to be No  Action, Talk Only, then it is time we hold them accountable.

 

Do Olam need to have a resolution to approve the special dividend by the board before distribution.?

Olam received the proceeds on 15 may , but still.no action from the management on the special dividend ?

[1, 2] Now that the Mindsprint deal officially closed early on 15 May 2026, the mechanics of how he can deliver on that exact " no-wait" promise come down to a specific corporate timeline: Why a Standalone Board Meeting is Now Expected Because the CEO promised not to wait for the August half-year earnings, the board will handle this via an Extraordinary Board Meeting. Under SGX listing rules, a company can declare a special dividend at any point in the year via a standalone corporate announcement, provided the cash is legally realized.

Olam Group completes Mindsprint sale to Wipro for US$386 million cash

In a bourse filing on May 15, Mainboard-listed Olam Group has announced the completion of the sale of subsidiary Mindsprint to Wipro, a global technology services and consulting company. Wipro paid US$386 ($492) million in cash for Mindsprint.

The sale of Mindsprint, an IT and digital services business, is part of Olam&rsquo s updated 2025 re-organisation plan to gradually divest and monetise the assets and businesses of Olam Global Holdco and distribute the net proceeds to the shareholders via special dividends after taking into account the prevailing operational and financing needs of Olam.

While fully-divested from Olam, Mindsprint will continue to support the technology and shared services requirements of its former parent under an eight-year agreement with Wipro.

Olam chairman Yap Chee Keong says: &ldquo The completion of the Mindsprint divestment marks another significant step forward in our Re-organisation Plan, and follows the completion of the landmark sale of 44.58% stake in Olam Agri to SALIC which we announced in April 2026. We are making meaningful and tangible progress in crystallising the value of our businesses and assets for shareholders.&rdquo

Furthermore, at end 2025 Olam had over S$2bn of cash on its balance sheet and will now have even more following the Olam Agri sale completion, so it can easily afford to redeem the bond without using the Mindspring proceeds. And that is even before considering Olam could borrow to redeem the bond. All that said, one cannot be 100% sure that Olam will do what it said it would do. And that doubt is why Olam' s share price is less than 50% of its fundamental value. If there was no doubt the share price would be a lot higher than it is

 

• The Process: Over the next 7 to 14 days, Olam' s finance team will reconcile the final cash adjustments from Wipro. The board will then approve the distribution via a digital Board Resolution by Circulation.
• The SGX Target Date: Based on the May 15 closing date, you can expect the official " Special Dividend Declaration" notice to drop on SGXNET between 22 May and 29 May 2026.
