I don' t even want any OUE Lippo Karawaci stocks in my watchlist.
Everything the CS do are all for themselves, not for minorities and definitely not for retail investors.
Only traders, speculators and shortists are happy to play with them.

OUE Commercial Real Estate Investment Trust (OUE C-Reit) and OUE Hospitality Trust (OUE H-Trust) are proposing a merger to create a diversified real estate investment trust with about S$6.8 billion of assets.

Under the proposed scheme, OUE C-Reit will acquire OUE H-Trust by paying OUE H-Trust holders, for every OUE H-Trust stapled security held, S$0.04075 in cash plus 1.3583 new OUE C-Reit units. OUE C-Reit last traded at S$0.52 for a market capitalisation of S$1.49 billion on Friday, while OUE H-Trust closed at S$0.735 for a market valuation of S$1.34 billion.

OUE C-Reit will pay a total of about S$74.6 million in cash, and issue about 2.5 billion new units to OUE H-Trust holders. Based on  OUE C-Reit' s closing price of S$0.52 on Friday, the 2.5 billion units would be worth about S$1.3 billion.

Parent company OUE Group will continue to retain a 48.3 per cent in the enlarged Reit.  OUE shares closed at S$1.77 on Friday.

The merged entity will be one of Singapore' s largest Reits by assets. It will have seven properties under its umbrella: four from OUE C-Reit &mdash OUE Bayfront, One Raffles Place, OUE Downtown Office, Lippo Plaza, and three from OUE H-Trust  &mdash Mandarin Orchard Singapore, Mandarin Gallery and Crowne Plaza Changi Airport.SEE ALSO:  Stocks to watch: OUE, OUE C-Reit, OUE H-Trust, ASTI Holdings, Mindchamps, RHT Health TrustThe enlarged Reit will also have a funding capacity of about S$1 billion, and will provide " enhanced portfolio diversification and resilience" , the managers said in a media statement.

If the deal had been completed as at end-2018, OUE C-Reit' s distribution per unit would have increased by 2.1 per cent on a pro-forma basis, while OUE H-Trust' s distribution per stapled security would have increased by 1.4 per cent.

OUE H-Trust will delist from the Singapore Exchange upon approval of the merger, becoming wholly owned by the OUE C-Reit trustee.

OUE C-Reit and OUE H-Trust will need to seek approval from their unitholders and stapled securityholders for the merger. The  trust scheme also needs to be sanctioned by the Singapore Court.

In Oue' s annual report published in april' 18, ppties & land in gateway cities like S' pore, US, Chengdu etc. make up  90% of its total asset values. Prime ppties & land in gateway cities keep going
up because they are  limited while the gateway cities keep growing. Because of this, I believe OCBC is calling ' a buy when they sell' & is saying that it will give 19c dividend if they sell the US ppty at $800m

In conjunction, Starship' s comment that the stock is dead & going round & round isn' t true. The stock dropped from $2+ to $1.30+ & rebounded to $1.70 & trading slightly below this. This is  not  a dead
cat bounce which is one that drops to the ground, bounces a little & remains dead.     Wyeo.

Question 1 again.   Why people aren' t buying the shs.?  The stock is very unpopular bec. of the negativities surrounding it. We study them, priced them in, & see that there is still ample upside for

The 2nd question. Here you' re divesting to pare down debts to go cash positive & burning cash to buy back shares -- doesn' t square up. My buy for this share is short to medium term if it continues to
divest. Long term, it is hard to see & take a position.     Wyeo.

Recently, Lippo sold Auric Pacific that included Delifrance cafes for $221m with complaints that the buy was expensive. Sales such as this gives me confidence what Oue' s bought fr. Lippo is not dude
as implied by the writings below tagging it as ' debt recycling' . Anyway, we ' ve priced the ' bad' in in case -- $1.18b, not millions. S. Riady must be a no brainer if he thinks he can cheat billions & escape

The NAV and under-valued thing is known to many, but why people aren't interested to pick up at this price? We are not seeing company aggressively buy back shares too

I would rather that Fundamental Hero(18-Mar-2019 01:18) debunk my reasons for Oue than be personal. This will benefit the readers including myself if there is a healthy debate on points for or against

Is Oue' s price low? At $1.66, 12c div., the  65% discount P/B is still heavily discounted -- when 90% of its prime ppties & land are in gateway cities like S' pore, US etc. (audited ' 17). Now, do you sell
your HDB ppty at 65% discount ??     Wyeo.

I buy a property stock just like you buy a property -- you buy low & sell high. Why? Bec. a prime property in gateway city like S' pore or Los Angeles makes a lot of money when they sell. Los Angeles
is after New York when it comes to property valued by buyers -- BT. US Bank Towers: cost $459.3m, current valuation US$650-700m. There' s is a lot money in it as the AEI are already paid.  Wyeo.

OUE buys stake in F& B player from Riady investment vehicle

MAINBOARD-LISTED OUE has picked up food and beverage outlet operator Superfood Retail as a new associate company, in a transaction announced on Friday night.

The property group paid about S$7.53 million for a  49.7 per cent interest in Superfood through its Oddish Ventures unit, with the price tag  representing a valuation of roughly 6.9 times of Superfood' s earnings before  interest, tax, depreciation and amortisation for the year to Dec 31, 2018.

The rest of Superfood, which opens and runs eateries in  Singapore and Hong Kong, is indirectly held by Hong Kong-listed Lippo China Resources, which shares a chairman - tycoon Stephen Riady - with OUE.

Dr Riady was deemed interested in investment vehicle Silver Creek Capital, one of the vendors in the deal.

The  Superfood acquisition is not expected to have a material effect on OUE' s net tangible assets or  earnings per share for the year to Dec 31, 2019, said the board in its bourse filing.
