2) Sold KOM to SC.

KC will only discharge KOM to merge with SCM instead of buying SCM. 

If KOM become valuable and much more profitable to KC, KC will not consider the discharge plan.

Then, wait for 2-4 years for SCM target price to become zero. KC can buy over the valuable assets from SCM debt holders.
