The Company is offering up to 14,537,002,596 new Shares (the &ldquo Rights Shares&rdquo ) at an issue price of S$0.003 per Rights Share (the &ldquo Issue Price&rdquo ), and up to 14,537,002,596 Warrants, with each Warrant carrying the right to subscribe for one (1) new Share (the &ldquo Warrant Share&rdquo ) at the exercise price of S$0.003 per Warrant Share (the &ldquo Exercise Price&rdquo ), on the basis of two (2) Rights Shares for every one (1) existing Share held by Shareholders as at the Books Closure Date and one (1) Warrant for every one (1) Rights Share subscribed

Sub-underwriting In connection with the foregoing, UOBKH has also entered into a sub-underwriting agreement with Mr. Oei, pursuant to which Mr. Oei has undertaken to subscribe for the Underwritten Rights Shares to the extent that such Underwritten Rights Shares are not successfully subscribed for under the Rights Issue (the &ldquo Sub-underwriting Commitment&rdquo ). Pursuant to the Sub-underwriting Commitment, UOBKH will pay to Mr. Oei a sub-underwriting commission of approximately S$233,559, representing 1.0% of the Issue Price multiplied by the Underwritten Rights Shares (the &ldquo Sub-underwriting Commission&rdquo ). For the avoidance of doubt, the Sub-underwriting Commission will be paid by UOBKH to Mr Oei out of its Underwriting Commission and will not lead to any additional cost to the Company. As at the date of this announcement, Mr. Oei does not own any Shares. Mr. Oei is a Singaporean businessman with interests in a range of industries including property development and property holding. Mr. Oei is the Chairman of, among others, Oei Hong Leong Foundation Pte. Ltd., Oei Hong Leong Art Museum Limited and Canadian Metropolitan Properties Corporation. Mr. Oei is not a related party or an affiliate or associate of any director or substantial shareholder of the Company
The Board of Directors (the &ldquo Board&rdquo ) of Asia-Pacific Strategic Investments Limited (the &ldquo Company&rdquo ) refers to the announcement dated 10 July 2017 relating to the above proposed acquisition of 72% of the Target Companies, which carry on the business of real estate development in the PRC. The Board is pleased to announce that both the Target Companies, namely 湖 湖 湖 湖 湖 湖 湖 湖 农 农 农 农 农 农 农 农 and 湖 湖 湖 湖 湖 湖 湖 湖 产 农 农 农 农 农 , have obtained approval from the relevant PRC authority to change their status to Sino-foreign equity joint venture companies (中 外 合 资 有 限 责 任 公 司 ). This approval is required for the satisfaction of the Conditions Precedent. Our Chairman and Chief Executive Officer, Dato&rsquo Dr Choo Yeow Ming, has also been appointed as the legal representative of both these Target Companies. Completion of the Acquisition is still subject to the fulfilment or waiver of the various Conditions Precedent, among others, the Shareholders&rsquo approval as specified in the Company&rsquo s announcement dated 10 July 2017. The Company will make the necessary announcements when there are material developments.

The Board of Directors (the &ldquo Board&rdquo ) of Asia-Pacific Strategic Investments Limited (the &ldquo Company&rdquo ) refers to the Company&rsquo s announcement dated 28 February 2014, 24 June 2014, 24 October 2014, 30 October 2014 and 21 November 2014 (the &ldquo Announcements&rdquo ).
As mentioned in the Announcements, the completion of the Proposed Acquisition (the &ldquo Completion&rdquo ) is conditional upon, inter alia, the conditions precedent specified in Appendix A of the Company announcement dated 28 February 2014 (the &ldquo Conditions Precedent&rdquo ) having been fulfilled or waived in accordance with the terms of the S& P Agreement by the date falling four (4) months from the date of the S& P Agreement (the &ldquo Long-Stop Date&rdquo ). The Long Stop Date was extended to the date falling eight (8) months from the date of S& P Agreement as announced by the Company on 24 June 2014 and was further extended to the date falling twelve (12) months from the date of S& P Agreement as announced by the Company on 24 October 2014.
As announced in 24 October 2014 Announcement, the Vendor is undergoing the Vendor Restructuring. Due to the longer than expected time required for the completion of the Vendor Restructuring which involves a China Government Linked Corporation, the Parties agreed to further extend the Long Stop Date to the date falling sixteen months (16) months from the date of the S& P Agreement to allow the Vendor to complete the Vendor Restructuring. The Company will release an announcement upon the Company being advised as to the result of the Vendor Restructuring.
Save for the aforesaid extension of the Long-Stop Date, all the other terms in the S& P Agreement remain unchanged.
