Those who got private placements from CIMB earlier are dealing in grey market this week (private settlements).
You can check with your remisiers and they will tell you the contrasting picture between Netlink Trust and Union Gas' s grey market rates.

Good things don' t come easy and vice versa.
  • You can get a huge allocation of Netlink Trust IPO and the issuer rather stooped so low to even seek crawl-backs from remisiers who helped them to placed out the shares. Netlink Trust is going to behave like HPH trust and pays more dividends than their EPS in the foreseeable future. The proceeds will pay off debts to Singtel + > 75% of Singtel ownership, so nothing much goes to the company, I think they need to issue new debts for capital expenditure. I do not expect their cost of financing to be as low as Starhub so it will be a burden on EPS. Even small ang mohs competitors (YES, Netlink Trust has competitors) such as Colt UK  & local Internet companies will expand their fibre laying at lucurative high-population density areas.

  • For HRnet, the IPO is only serve to benefit the Pre-IPO investors who got the shares for a small fraction of IPO price. The IPO P/E was over 20 times and you will faint when you know the NTA/NAV. The leadership of the company believes in enslaving people through debts. They educated their staff to buy expensive goods, expensive cars so they have no savings and probably work harder. If these are they values, how do you think founders will treat shareholders in the long run?

  • For Union Gas, the company don' t even want Pre-IPO investors who pays a low-ball price for their shares. Now, this IPO is just to get listed and place out shares to min. 200 shareholders. Serious retail investors are expected to buy the company' s shares at above 25 cents in the open market after listing. Traditional chinese bosses think like that, moreover they don' t need the $4mio IPO proceeds. They are plotting to increase the market cap in the long run through the issues of shares at higher price to strategic investors at higher prices.

Yes the public float is too small.
I speculate that some of the vendor shares and placement shares went to friends and extended parties. Outsiders are all forced to bid up the IPO and purchase above 25 cents if they want a slice fo the company. My friend called the issuer bank as a private client and had no assess to the placement shares. AI-rep from another brokerage told me that this counter will trade above water, so what are the founders plotting?

I briefly rub shoulders with the owners. This family does not need the money. It is about glam. and for longer term, the gem is still UEC.
UEC is the supplier to Union Gas and through lower pricing, engineered the strong profitability of Union Gas if you read the prospectus. I do not expect that to change.

The founders will still control 70% after IPO and this company has neligible current debts. I speculate that the long-term plan is about UEC. If you are seeking glam for your current business you just want high valuation, not to offload and say bye bye to the trade. It is in my biased opinon that these are their three steps:
  • Step 1- Union Gas will focus on getting listed, but the founding family don' t need those money. They refuse dilute stakes to secure low-ball anchor investors in pre-IPO prices.
  • Step 2 - They will place out new shares at higher prices along the way to keep shoring up market cap and this is where we will see reputable funds taking up minority stakes in the company.
  • Step 3-  The grand plan is to RTO UEC at spectacular valuation and gives the founders a tighter 75-85% grip on the listed company (first right of refusal clause for UEC).

Market cap of Union Gas is about $50mio after IPO based on 25 cents.

Pros:
At P/E slightly below 7, let' s put it in perspective, many private equities will be interested to swallow the whole company at such price.
Almost zero for Total Debt minus Current Assets in pre-IPO account.
Sufficient depreciation made in earlier years for Fixed assets related to gas business. Fixed Assets is merely 10% of market cap. Total Current Assets after IPO will be appx 30% of market cap.

Cons:
The company needs to write off $1.7+mio in current FY as listing fees.
CNG cars reduced on the road. CNG accounts for 20% of group' s revenue.

Happy Weekend!

I reiterate that I am very biased towards this company. This company/family does not need the IPO money. Their family controls UEC which is a monster in this industry. In my biased opinion, this IPO is just for glam.

Don' t get me wrong, I do not guarantee a windfall for this IPO but just sharing that I will subscribe.

A week ago, my friend contacted his RM at CIMB Bank and was told that due to the small issue size, no private placement is available to CIMB Bank although CIMB is the issue manager. Related underwriter CIMB Securities has no allocation left for the preferred-banking customers of CIMB Bank.
