Oil down 2%, means tomorrow will be dumping again?
I sold my Ezion last week at 42cts and SembMar at $1.515. Seems Oil dropping recently ... May be a good time to collect back Ezion, SembMar and perhaps KrisEnergy at below 0.18? Holding to my China Avation Oil for its FY results in Feb, decent results with some dividends expected. Golden Chicken/Hen Year to all investors! |

While Keppel has the waiver not to make mandatory offer, the high % of unsubscribed notes and warrants that they now will pick up indirectly offers them an option to trigger a mandatory offer to delist at good bargain if they believe KrisEnergy prospects is better now with the crude prices stabilizing as they shared when they indicated support for the financial restructuring plan.

That will be good news to all of us who whole Kris Energy Stock. Yesterday, I saw a few SGX annoucement on Kris Energy.  Strangely, Kris Energy Director / CEO many of them did not subscribe to the notes.  Not sure what they are up to. I thought the note' s Warrant is highly in the money.  Strange. |

Keppel comiitted to subscribe and pay for, all the excess notes with warrants that are not successfully subscribed for. That's a very strong support. I wonder while they sought waiver of rights to make Keppel make a mandatory offer should the subscritiokn for excess to pick up those not successfully subscribed for trigger such regulatory needs, will Keppel seriously surprised us with a delisting proposition ?
SINGAPORE - KrisEnergy is proposing to raise up to S$140 million via a preferential offering, the struggling oil ad gas producer said in filing with the Singapore Exchange on Thursday (Nov 3). The offer is for up to S$140 million in senior secured zero coupon notes due 2024, with up to 1.25 billion free detachable warrants. Each warrant will carry the right to subscribe for one new share in KrisEnergy share at an exercise price of 11 Singapore cents per share. In a separate filing on Thursday, Keppel Corporation said it will participate in KrisEnergy's offering. Keppel holds 40 per cent of KrisEnergy shares through its wholly-owned indirect subsidiary, Devan International Ltd. Keppel said it will transfer these KrisEnergy shares to another unit, Keppel Oil and Gas (KOG). Keppel said KOG is in discussions with KrisEnergy to provide an irrevocable undertaking it will subscribe and pay for, or procure that Devan subscribes and pays for, its full entitlement of notes with warrants under the preferential offering. It will also subscribe and pay for, or procure that Devan subscribes and pays for, all the excess notes with warrants that are not successfully subscribed for. The preferential offering is subject to waivers, consents and approvals being obtained from the Securities Industry Council of Singapore, SGX and the shareholders of KrisEnergy. It is also subject to KrisEnergy noteholders approving measures the company proposed on Thursday to restructure its debt: the exchange of outstanding S$130.0 million 6.25 per cent. notes due 2017 and S$200.0 million 5.75 per cent notes due 2018 for new notes. Keppel said KrisEnergy's independent shareholders must also approve by a resolution to waive their rights to receive a mandatory general offer from the Keppel group and its concert parties, in the event Devan's or KOG's direct interest in KrisEnergy ends up at 67.33 per cent of its enlarged issued share capital under the preferential offering. Explaining its rationale for the move, Keppel Corp said that it remains confident of KrisEnergy's long-term fundamentals and believes the company will continue to extract quality returns on its investment. "There is considerable value in KrisEnergy's near-term production developments in Thailand, Indonesia and Cambodia, which have limited exploration risks but require capital to generate future cash flows. "The preferential offering will enable KrisEnergy to ride out near-term funding challenges and create long-term value," said Keppel. Keppel said it is also in discussions to establish its unit, Keppel Offshore & Marine Ltd, as "preferred partner" of KrisEnergy, supplying it with offshore and marine solutions. "As KrisEnergy will be ramping up its development activities, especially in Thailand and Cambodia, it will require production solutions and such engagement with KrisEnergy is in line with Keppel Offshore & Marine Ltd's plans to work with oil and gas companies on developments in Asia," said Keppel. |

Yes, that and many other restrictions. Which is why I expect Krisenergy to redeem these notes before 7 years are up. How soon, I suppose, will depend on the price of oil going forward and the amount of cash they start to sit on.

If I remember correctly, the new notes has a condition that Kris Energy cannot pay dividend until the note is redeem.      If this is the case, then no dividend for a long while. |

for this share to give dividend is a long shot, I also invested in the seven years notes, nobody will buy the notes unless it is at steep discount at least 50 % So we must sit out this 7 yrs. The only reason we subscribe to the notes is because oil is at its low and hopefully it will go up from here maybe 65-70 usd. higher even better. All the best to our venture!

I don' t mind to hold a stock for long term, as long as it continuously gives dividend every year.   If I just buy a stock and immediately I need to fork out some more money to subscribe rights, notes, etc, I just have some concern about my financial. You guys are different, bcos you are probably very rich.   For me, being a shareholder I am not an ATM, in which the company can simply ask more money from me with a promise of future return.   Therefore a stock that constantly issues rights, warrants, notes is not suitable for me.   Everybody has different preference in selecting a stock to invest.

Idunno about you la, but I' ve attended the EGM and they have already said, the deal structure is not for a quick trade. As for time value of money, this is subjective. Personally, I don' t care much since I have like 30+ years till retirement, and my portfolio is heavily defensive with > 7% yield.

7years is a long long wait.
Time value of money gone. Then you still need to absorb the risks in market.....and anyone who buys now with warrant don't mean u earn now. Before the launch. The pricing has been calculated so better pray it go over 0.20cents more more than gain breaker first. Do your maths |

I subscribed to my krisenergy note too. I hope no need to wait for 7 yrs lar.   The two 4% notes that are extended recently is trading at 96-97$ to $100.   So   it seems that mkt is expecting abt 5 to 6% yield per yr for Kris notes maturing in 7 yrs time.   If this is the case the note may be worth $0.67  Lets see.

Nowadays it is rare to see passionate long term investors like you.   7 years is super long to hold a stock.   I normally avoid any counter that is in the mid of exercising warrants and so on at least after few months later, bcos I don' t understand how to price.   I don' t like to know so complicated calculation.   Boh bian, I am a simple person.
