The Board of Directors of AsiaPhos Limited (the &ldquo Company&rdquo and together with its subsidiaries, the &ldquo Group&rdquo ) wishes to announce that the Company is currently in discussions and negotiations with a third party in connection with possible cooperation (in the form of joint venture or such other form of cooperation) and/or investment/acquisition of renewable energy business (including but not limited to, the development, operation and maintenance of solar power plants in Asia including Singapore) (the &ldquo Potential Transactions&rdquo ).
The Company is of the view that the Potential Transactions, if it materializes will allow the Company to diversify into new businesses or growth areas and supplement the Group&rsquo s existing businesses. The Company will make such further announcements on the Potential Transactions, where applicable in compliance with, inter alia, relevant requirements of the Listing Manual of the Singapore Exchange Securities Trading Limited Section B: Rules of Catalist (&ldquo Catalist Rules&rdquo ) where applicable. The Potential Transactions may be subject to Chapter 10 of the Catalist Rules and may involve diversification of the Group&rsquo s existing business and change the existing risk profile of the Group. The Company undertakes that, where applicable, it will comply with requirements of Chapter 10 of the Catalist Rules including but not limited to seeking Shareholders&rsquo approval for the Potential Transactions as well as the potential business diversification. Cautionary Statement Shareholders should note that as at the date of this announcement, no definitive agreements have been executed for the Potential Transactions. Shareholders are advised to exercise caution in trading their shares as there is no certainty or assurance as at the date of this announcement that the Potential Transactions will materialize. I have never heard of a property developer that has only $100k cash in hand. Reality Center site should be on borrow money. .. and many think they can borrow $200m for the SMRT Starup... good luck.

Something is very wrong. Where can you find a Developer with so little cash in hand. So I deemed TPH two properties are BTO (Borrow To Order). Financing bank loan will be a big problem. $200m startup with SMRT will be a gone case. Next will be Margin Call if the shares were pledged. Some funny guys said meanwhile, they will buy shares back to bring up the holding percentage.. Do you think, the three shareholders will cough out personal $$$ or do they still have $$$ in the first place.

While the court case is on going, the price may hit below 10. My opinion is that this case is not just simply a case of unauthorised selling, it could be dued to someone with the knowledge of a troubled coy in the making and dare to take up such an act to sell such big amount of stock in the market with confident and over so many months. With string of good news announced and yet the selling started right after the SMRT announcement and someone dared to bet against all this good announcement is of concern. I sincerely hope this court case can bring back confident to the stock prices. But as you all should know, stock market is a place of many hidden agendas. BTW, dont think professional shortist will be worried and rush to buy back. They had made plenty of cash since shorting at 0.16, the price drifted and they will know how to exit if the need be with minimal loss. In my years of observation, any counters with a fast and sudden rise in share price within a week are counters of big concern, eg Kitchen Culture.. This is just my opinion and I dont personally play short positions. My remark is simply that we just have to be careful and not overly bullish.
