Eng hock joseph lim is the name of Peter Lim' s investment vehicle, he owns rowsley thru it.
I think the warrants are there to help the company raise cash, peter lim owns most of the company so he will have to stump most of the cash if this trades above 9c, I think thats the appeal.

I have to say it' s a shrewd deal. I just have two questions:
1) What kind of deal did he have to cut with Joseph Lim (45% shareholder of Rowsley) to pull this off?
2) Why did Rowsley decide to issue 2 rounds of bonus warrants after issuing 25.3b shares to pay for TMC? Seems to be the only purpose is to transfer ownership from Joseph Lim to Peter Lim.

Since he doesn' t need that much and 20% needs to be in public hands, he could dispose of a 40% stake and reduce his holding to 51%. That 40% stake could be worth $6.1b based on my market capitalization calculation of $15.3b post bonus warrants.
Essentially, Peter Lim can kill two birds with one stone: 1) Take TMC public via Rowsley, 2) Flip his ' extra' shares for $6.1b. He' ll flood the market and stock price will tank but that' s not really his problem is it? $6.1b in pocket |

At least 20% of the shares must be in public hands.
If PL holds more than 90% of the company, its mandatory to suspend the company.
