in a nutshell and in a way we can understand.

4.1 is in theory. CLIM may not command its NAV when listed. Right now 3.50. Will be a bit volatile I think when it resumes.

The reits stay as they are lah. Merging them is crazy.
CLIM replaces CL only. So the property development side is now private. All CL SH becomes CL reits/investment arm' s SH.

Capitaland being privatised?
I thought they want to set up a new Integrated REIT Command & Control Centre to optimise management of all their REITs?
Which I thought was one of the objective of merging CMT and CCT to form CICT. 
I dont like this idea of one Super REIT to manage all their REITs.
I prefer to have more REITs.. one for each sector.
That way we can have more REITs to choose to park money in.
Having their China sector and North Asia sector REITs all lumped together with their local REITs means when the China side
and North Asia side are weak in earnings, it will drag down overall performance of the super REIT. 
Hope this is not what they intend to do

1 mamasan = 1 CLIM (NAV 2.823) + 0.951 Cash + some CICT shares
So CICT shares will be distributed to CapLand SH.
CLIM will be listed and CL privatised.

Since you are not familiar with Bromptons, you probably have not seen the unique way in which a Brompton folds itself into
a compact block which comes with 4 trolley wheels to make pushing the folded bike around, a breeze. Have a look...

Not familiar with Bromptons but such examples are plenty out there for such " premium" products. Apple is one, price within its product line and compared with Samsung phones or others. Other road bikes also similar. Some brands just charge because their brand allows to and holds a premium above others.

But $5k and $2k plus are macam like if the lower end model is good enough, then heck the $5k model lah.
Same amount of money can buy 2 of the lower end model man. Whether its $5k or $2k plus... a Brompton is a Brompton.
So long as it rides okay and folds like a Brompton, lower end model or not...Bay Hiaw Kin one lah.
I think place the $5k model and $2k plus model side by side also cannot tell the difference especially if choose both of the same colour.
Just like put a Brompton and a generic version side by side also cannot tell much difference. But the generic version is one third cheaper.
