RESPONSE TO SGX&rsquo S QUERIES REGARDING TRADING ACTIVITY The Board of Directors of the Quantum Healthcare Limited (the &ldquo Company&rdquo and together with its subsidiaries, the &ldquo Group&rdquo ) refers to the queries from the Singapore Exchange Securities Trading Limited (&ldquo SGX-ST&rdquo ) on 21 November 2022 regarding the unusual volume movements in the ordinary shares of the Company today. The Company sets out below its responses to the said queries. Question Company&rsquo s Response 1. Are you (the issuer) aware of any information not previously announced concerning you, your subsidiaries or associated companies, which, if known, might explain the trading? Such information may include events that are potentially material and price-sensitive, such as discussions and negotiations that may lead to joint ventures, mergers, acquisitions or purchase or sale of a significant asset. You may refer to paragraph 9 in Appendix 7A of the Catalist Rules for further examples. - If yes, the information shall be announced immediately. Company' s Response The Company, on an on-going basis, explores potential business acquisitions, investments, disposals, fund raising and/or other corporate actions, with the aim of enhancing Shareholders&rsquo value as part of its ordinary course of business. These discussions are still on-going and no definitive agreements have been executed. At this juncture, there is no assurance or certainty that any of such possible transactions will eventually materialize or definitive agreements entered in. In addition, the Company would like to highlight to Shareholders the Company&rsquo s announcement released on 14 November 2022 in relation to an update on Chocolate Touch® . Save for the above, to the best of the Company&rsquo s knowledge, all material and price-sensitive information has been announced on the SGXNet. The Company is not aware of any information not previously announced concerning the Company or its subsidiaries which, if known, might explain the trading. 2. Are you aware of any other possible explanation for the trading? Such information may include public circulation of information by rumors or reports. The Company is pleased to announce that on 11 November 2022, the United States Food and Drug Administration (&ldquo FDA&rdquo ) has given pre-market approval (&ldquo PMA&rdquo ) for the Chocolate Touch® Drug- coated Balloon PTA Catheter for the treatment of patients with peripheral artery disease in the superficial femoral artery and the popliteal artery. As at the date of this announcement, G Vascular has paid US$5.9 million (which comprised Closing Payment of US$4.9 million and assumed liabilities of US$1 million) to the Group. The PMA received from the FDA marks a significant step towards unlocking the Post-Closing Payment of at least US$16.1 million from G Vascular as indicated in the circular dated 13 July 2020 and the Proposed Distribution as indicated in the December 2021 Circular respectively. The Post-Closing Payment will be unlocked either upon sale of Chocolate Touch® asset to other parties or commercial sale of Chocolate Touch® , subject to detailed terms as set out in the December 2021 Circular
