PROFIT WARNING FOR THE FOURTH QUARTER ENDED 31 DECEMBER 2016 (&ldquo 4Q2016&rdquo ) AND FINANCIAL YEAR ENDED 31 DECEMBER 2016 (&ldquo FY2016&rdquo ) The Board of Directors of Healthway Medical Corporation Limited (the &ldquo Company&rdquo and together with its subsidiaries, the &ldquo Group&rdquo ) wishes to inform the shareholders of the Company that the Group expects to record a loss for 4Q2016 and FY2016. The loss is mainly attributable to the significant impairment of certain receivables, as well as goodwill. This announcement is based on a preliminary review of the unaudited management accounts of the Group for 4Q2016 and FY2016. Further details of the Group&rsquo s financial performance will be disclosed when the unaudited financial results for 4Q2016 and FY2016 are announced on or before 1 March 2017. In the meantime, the Board wishes to advise shareholders of the Company and investors to exercise caution when dealing in the shares of the Company (&ldquo Shares&rdquo ) and to refrain from taking any action in relation to their Shares which may be prejudicial to their interests. Persons who are in doubt as to the action they should take should consult their stockbrokers, bank managers, solicitors, accountants, tax advisers or other professional advisers immediately. It can turned into up to 90.17% of HMC' s existing share capital or 47.4% of its enlarged share capital. Effectively handling control over to Gateway fund and dilute share holdings of shareholders. Under the terms of the agreement, HMC will have to pay interest of 12% per annum on the loan for the first 3-mths and 16.5% per annum thereafter. Noted - Gateway will nominate two non-executive directors and choose it HMC' s CFO, and cannot enter into any material transaction or change its CEO without Gateway' s consent, teeth53 thot - Riadys don' t like this for giving away.
