x 0   x 0  Alert Admin	46.5 cents will be the price that ESR is going to takeover Sabana reit at , same as Volare.  Yes, higher will buy Sabana reit since it is the target BUT ESR will push ESR-LOGOS share price higher in order to gain  advantage when exchanging ESR-LOGOS shares for Sabana reit shares. Eg: ESR-LOGOS shares at 40 cents in exchange for  Sabana reits shares at 42 cents is much better than ESR-LOGOS shares at 34 cents for Sabana reits at 42 cents. If ESR really exchange ESR-LOGOS shares at only 34 cents, I think ESR-LOGOS shareholders' turn to reject the takeover, so ESR cannot let ESR-LOGOS share price be too low. I think perhaps 40 cents will be the sweetspot. Too low, ESR-LOGOS shareholders will reject as it means dilution. Too high very difficult to push up, say is near impossible to push ESR-LOGOS share price to 50 cents for example,. Most brokerages like DBS or RHB has set 40-42 cents target for ESR-LOGOS, so pushing to 40-42 cents is feasible. sangsang1      ( Date: 11-Jul-2023 21:31) Posted: i think no point really pushing up ESR REIT price. i' m sure shareholders. smart now. If ESR REIT share price is artifically high, shareholders will just ask for a higher takeover price, if there such thing is happening, nobody knows. in takeovers, usually people buy the one being taken over, not the one buying as buyer has to pay high price.

x 0   x 0  Alert Admin	The Manager wishes to inform unitholders of Sabana Industrial REIT (&ldquo Unitholders&rdquo ) that, the High  Court has on 11 July 2023 dismissed the Applicants&rsquo application in HC/SUM 2013/2023 for an interim  injunction, pending the hearing of the Originating Application,  to restrain the Manager from  taking any steps to convene an extraordinary general meeting of unitholders of Sabana  Industrial    REIT  (&ldquo EGM&rdquo )  pursuant  to  the  Requisition  (the  &ldquo Interim  Injunction Application&rdquo ). A Case Conference for the Originating Application has been fixed on 13 July 2023 at 10.00 a.m.,  before a Registrar of the Supreme Court, for the purposes of scheduling the hearing date for the  Originating Application. As  stated  in  the  Manager&rsquo s  announcement  dated  7  July  2023,  prior  to  the  Interim    Interim Injunction, the Manager had been in the final stages of the preparation of the Notice of  EGM and the circular to Unitholders (the &ldquo Unitholders&rsquo Circular&rdquo ) on the resolutions to be tabled  at the EGM. In this regard, the Manager wishes to inform that it had intended to proceed with  convening the EGM on the basis of the resolutions as set out in the Requisition, i.e. as two  standalone Ordinary Resolutions.² As the Interim Interim Injunction is no longer in effect, and the  High Court did not grant the Interim Injunction Application sought by the Applicants, the Manager  intends to continue with the preparation of the Notice of EGM and the Unitholders&rsquo Circular, to be  issued in due course. luckyguy3      ( Date: 12-Jul-2023 05:30) Posted: High court rejected ESR request. If ESR REIT share price is artifically high, shareholders will just ask for a higher takeover price, if there such thing is happening, nobody knows. in takeovers, usually people buy the one being taken over, not the one buying as buyer has to pay high price.

x 0   x 0  Alert Admin	YES if Volare sells their shares to ESR, ESR will control > 35% and trigger a mandatory takeover liao.. then most votes require 75% approval which means they do not need any other shareholders liao. BUT i still think they will repeat the takeover like that in 2020. U look at ESR-LOGOS share price recently.. from 31 cents to 34 cents in about 2+ weeks when the overall market is weak. I think they are planning a takeover behind the scene liao in order to stop the EGM totally. If high court reject ESR then ESR will not let go so easily .. They may do the following to stop the EGM and take total control over Sabana. 1) Accumulate/buy over shares perhaps from volare(as long as price is right) to reach 30% and trigger a mandatory takeover OR 2) Launch a takeover bid like a few years ago OR 3) Dump their Sabana shares and crash the share price and put up road block to make sure share price will remain low and challenge the resolve  of small shareholders Just my thoughts mrwise      ( Date: 08-Jul-2023 15:26) Posted: We should all know who to support after the last round of unfair merger proposal. Takeover bid? or merger? or Volare sell their stake to ESR making ESR cross 30% treshold for a mandatory takeover bid? Depending on whether ESR is halted during the weekend too. Dun know.. We just wait and see... I think ESR cannot be sitting there waiting for the EGM to happen because I think ESR will be voted out during the EGM from the management of Sabana.
