Special Resolution is passed by min.  75% of vote cast by members via show of hand or by Poll at EGM (usually by Poll to benefit bigger shareholders). Shareholders holding for longer-term horizon may see the benefits of RTO in future, but many short-term investors are not happy with the deal (as they are probably selling out now). But  Some of them  who bought at high price may not want to get out at big loss. Remember the public float is big @ > 65% (as at Sep 2013), therefore risk of not securing the min. 75% vote & no RTO. Hankore Last traded share px = $1.19 vs shares issued to CEIL at $0.703 (i.e. Big Discount of 41% in favour of CEIL) Assets of CEIL (to be purchased) are valued at Market price BUT shares of Hankore are not issued at market px. End of the day, CEIL emerge as major owner holding 78% of new entity leaving only 22% to existing Hankore shareholders. DYODD: I m not an expert on M& A of water assets, so my view may be wrong.
