But both Keppel and SM were saying the dateline is 1st quarter 2022. Unless there is another new announcement, if not, why keep speculating?

The only reason I can think of is they are bloggers for BBs.

I do not believe SCM will win 6-8b of contracts within the next 12 mths.
So yes, 20cts remains a day dream, a very far fetched one, for time being,

To add , 20 cts is possible but definitely not as a result of a merger. Only way is through more CONTRACTs. If it really gets $6-$8b worth of contracts within the next year, 20 cts should be achievable

That means, both SM and Keppel were talking about " In first quarter 2022"

I understand where you came from
It seems based on Better s earlier post, the merger may be funded by SM shares (specie share if so be) and Better expected it to be at 0.20. Why not? SCI deal was issued with SM shares at 0.20 (May forummer comment cos I can t recall this part of the earlier debacle)? If so there might be some precedence for pricing.

It does also make sense that the deal might be at $0.20 based on following reasons:

1. KC being more dire and desperate to rid this gangrenous KOM and may just bite the bullet.
2. Temasek s average price is $0.14 and deal at 0.20 makes financial sense as fewer SM shares may need to be issued and hence less dilutive to Temasek?s holdings.
3. Macro factors favoring SM
4. Company wise, SM winning close to $7/8b contracts this year. Expected positive results and reversal of provisions, boosting Book Value and eventually PE relevant model.

If so, the goalposts for the earlier NON BINDING may completely change from COMMON ENTITY to SM being the ACQUIRING ENTITY.

The script may then change. Shares trading at this low range band, may suddenly halt and gap up upon lifting of halt, a mirror image of earlier trauma when many shh were caught by surprise when price was 0.19/0.20, halted with news of rights at 0.08 and then shares tumbled upon lifting.

Well, a dream 😴 but why not?

MOU though non-binding (because they are not going to be tied by all that the merger must happen) will be the blue-print for their talk. If there is any deviation from that, they should announce it. Change to be more beneficial to SCM means less favourable to KC (likely). Then one set of SH will be happy and the other will making hell lot of noise.

SCM is so " transparent" that they are willing to frighten their own SH with the 3-year-loss-making type of statement when its share price is bulling (same announcement last year when the price was bulling also I remember well cause I was also cursing), I am sure they will make every effort to announce it if there is any change in the MOU. Haha.

In any case, if you are a SCM SH, you better pray hard that the deal doesn' t involve SCM issuing new shares. I have maintained from day 1 when this merger speculation popped up 1.5 years ago that a share swap is only way, even though SCM may not be valued much. Much safer and better than SCM issuing shares to acquire KOM.

The deall is such that KC will get up to S$500m and maybe some shares of the newco. I read it as if they get 500m, then no shares. If they can' t get max $, they will get some shares which they will distribute to their SH. That' s just my reading. I could be very wrong.

I don' t think the merger will involve SCM issuing shares. That' s not merger but take-over. SCM as I said since 2 years ago, is in no position to do that. They will just kill it the 3rd time if they do that again.

Lastly, TH' s holding of SCM is not 14c, not 10c, not even 5c I think. After the 1st right in 2020, I did a quick calculation but now out of the top of my head it cost them < 5c. After the 2nd rights, I bet their cost is even lower. Even if it goes up, it will be nowhere near 8c.

Some may think KC getting 500m is bad. But look at the books. KOM is a negative asset company. I also don' t think SCM will be stupid enough to swallow everything KOM has. That' s why KC restructured it into 2 or 3 different entities. The legacy part is the one holding all the depreciating/money losing components. That part would not cross over to the new co. Anyway those were businesses SCM has been trying to get away from themselves. It makes no sense after all the effort that business gets sucked back into the new co again.
