x 0   x 0  Alert Admin	My own personal take after reading todays announcment: Positive: Company managed to secure standstill agreement with creditors (Solando and DEG) and attracted investors including pre-IPO investors in times of needs. This bodies well for the potential the investors sees in the company in lieu of the current company liabilitis they are in. Company offically announced that they are looking to list in NYSE instead of HKSE. I personally feel we will have a much better chance of succeeding there due to the investment climate compared to HK. In addition, the anti-china climate is not too promising now with the protestors happening in HK. JW Group have paid the last tranche of S3.4M to company which means once SGX approve the partial tranche to list, we can pay over to solando some of the outstanding amount arising from the standstill agreement This also means JW Group is in the same boat as company hoping to get GF listed Pre-IPO investor, creditors and bondholders actions seems to imply they are willing to give company more time to pay up.  Offically announced that the 150M RMB is pending SAFE approval, from the auditors report Company overall net cash flow is in the positive, meaning the business is profitable Negative: Company need to buck up and work harder on getting GF listed. The listing application hopefully can submit in the second half of this year and successful listing would allows all to have a happy ending, including investor myself.The timeline stated Jan 2020 is approaching soon. I would rate this as a risky counter so DYODD

x 0   x 0  Alert Admin	Steps taken to address the material uncertainty related to going concern include (Cont&rsquo d): - similarly, regarding the repayment of loan to Soleado, the Company has received a letter dated 9 July 2019 from Soleado where the lender agreed to a standstill and shall forebear from taking any actions to claim or enforce the obligations of the Company or guarantors to repay the amount due and payable to Soleado for a period up to and including 31 December 2019, subject to the following conditions - funds of approximately S$3,400,000 relating to the remaining 85,000,000 Placement shares of the Company to be received from JW Capital Group Limited and be deposited into the bank account of the Company by 12 July 2019 and - payment of S$2.0 million (equivalent to approximately US$1.5 million) to Soleado by 31 August 2019. The Company has received the full sum of S$3,400,000 from JW Capital Group Limited on 10 July 2019. - the Company has prepared a twelve-month projected cashflows forecast from the date of this report to review the appropriateness of the going concern and - there is sufficient monthly working capital for the Group to continue the operating business for the next twelve months and that the Group is able to continue to obtain support from its existing customers and suppliers - funds expected to be received from pre-IPO investors in the region of US$ 30.0 million by end 2019 and - the circumstances leading to the event of realisation of assets are very unlikely and remote. The management is confident that the successful conclusion of the events mentioned above would enable the Company and the Group to continue operations for the foreseeable future. Accordingly, the management considers that the use of going concern basis of preparing financial statements remains appropriate last chance saloon.

APPLICATION FOR FURTHER EXTENSION OF TIME TO HOLD ANNUAL GENERAL MEETING FOR THE FINANCIAL YEAR ENDED 31 DECEMBER 2018 AND RELEASE OF RESULTS ANNOUNCEMENTS FOR THE FIRST QUARTER ENDED 31 MARCH 2019 AND SECOND QUARTER ENDED 30 JUNE 2019 The Board of Directors of the Company wishes to announce that the Company had, on 16 July 2019, applied to the Singapore Exchange Securities Trading Limited (the &ldquo SGX-ST&rdquo ): - (i) For a further extension of time to hold its AGM for FY2018 from the current deadline of 31 July 2019 to 14 August 2019 (ii) For a further extension of time to release its 1Q2019 Results Announcement from the current deadline of 15 August 2019 to 29 August 2019 and (iii) For waiver to comply with Rule 705(2) of the Listing Manual of the SGX-ST and extension of time to release its 2Q2019 Results Announcement from 14 August 2019 to 14 September 2019. The Company had made the Application to the SGX-ST based on the reasons set out below:- (a) There was a delay in finalising the financial statements and annual report for FY2018 as the outstanding audit confirmation replies and follow up pending matters as mentioned in the Company&rsquo s announcement dated 25 April 2019 had just completed on 13 July 2019 and the external auditors required time to assess the impact on the audited financial statements for FY2018 and (b) The Company had just finalised its financial statements and annual report and is in the process of arranging for typesetting and printing. In this respect, the Company would not be able to observe the 14 days&rsquo notice to its shareholders. The Company will also be submitting an application to ACRA for the extension of time to 14 August 2019.
