x 0   x 0  Alert Admin	Frankly, there will no be much cash for fund to pocket. Look at the first asset sale.  Bagged US$28mil but in Q1 after bagging that US$28mil, the company are left with US$5mil.  Then look at the terms of the upcoming second sale.  Teleflex imposed two conditions which are really damping the mood. - QTV has to foot the bill of up to US$25mil for the FDA pre-market approval of their Chocolate Heart, and - the sale proceed from the sale of both the non-coat and coat cannot be extended as loan nor used as distribution to shareholders. It is clear that QTV is still a cash-burner although it has managed to bring that down from US$24mil per year to US$13mil per year.  But with the Choc Heart, it is likely to go up to US$20 per year.  QTV dont have enough cash to see it thru.  Fund must be riased and people gets jittery about it because QTV still have agreement with GEM and can extend the agreement further with even more dilution for the company shareholders. For the second point, why does and more importanlty, what gives Teleflex the rights to impose on the company corporate action?  Is like you get your pay but your boss have the say in how you use your pay.  Very strange.  What is the use to a fund if it spent $$$ to acquire a company but has no say in the company asset? So when the EGM comes, pls ask mgmt the followings: -  why does and what rights teleflex has to impose on the use of the proceed? -  for how long will the restriction stay? -  how is the company going to raise the required fund to see the Choc Heart thru to FDA?  GEM (again!!), rights or loan? I prefer loan with decent interest rate, ie no the 8% or 12% type.    The worse case is right while still keeping GEM.  If mgmt go by this route, all should throw rotten eggs at them.  This combi is out to rip shareholders since they take your money from the right but cannot distribute their proceed from the sale and have GEM to drepress the price further.  This will truly be a one-way traffic down the cliff for shareholders. I think QTV might still shoot up a few pips in the coming weeks or months but will suffer pullback until the non-coat sail thru which I expect to be before end of the year.   Stanton      ( Date: 24-May-2018 15:42) Posted: Straits Times reported ?QT Vascular noted that the value of the deal far exceeds the firm's market capitalisation of $36.3 million as at May 23.? Wonder if any hedge fund will launch a takeover and pocket the cash.
