LionGold Corp Ltd (the " Company" ) wishes to announce that it has applied for and obtained a waiver with respect to the requirement to include a Qualified Person?s Report (" QPR" ) in its annual report pursuant to Rule 1207(21)(a) of the Listing Manual.

The Company sought a waiver from the SGX-ST (" Exchange" ) for the following reasons:

 * If the Company were to comply with Rule 1207(21)(a) and publish the full text of the QPR for its tenements held, it would result in the annual report being too voluminous, as each QPR is highly elaborate and detailed in content and would be approximately 100 pages each. As the Company has 8 tenements, the QPRs of the Company?s tenements would be around 800 pages or more, making the Company?s annual report extremely difficult to handle.

 * By including the QPRs as part of the annual report, it would overshadow the rest of the information in the annual report, especially the financial information, and would be less user-friendly to the investing community and stakeholders.

A waiver from the above requirement will result in a reduced thickness of the Company?s annual report, making it much easier for shareholders to handle and read, while at the same time satisfying the investing community?s need to conveniently access the QPRs online.

The Company wishes to announce that the Exchange has no objection to the waiver from compliance with Rule 1207(21)(a) subject to the following:-

(a) The Company announcing the waiver granted, the reasons for seeking the waiver and the conditions as required under Rule 107 of the Listing Manual

(b) Disclosure within the annual report of the

        (i) standard of reporting used by the qualified person

        (ii) whether the qualified person is independent and

        (iii) information required under paragraph 5.4(e) of Practice Note 6.3 of the Listing Manual.

(c) Submission of a written confirmation from the Company that the waiver does not contravene any laws and regulations governing the Company and the articles of association of the Company

(d) Submission to the Exchange of a soft copy of the QP reports for dissemination in SGX?s website

(e) The Company announcing that shareholders will be provided with a hard copy of the QP reports if they so request in writing to the Company.

Shareholders are to note that they will be provided with a hard copy of the QP reports if they submit a written request to the Company.
