SINGAPORE/HONG KONG, June 30 (Reuters) - The race to buy
Global Logistic Properties < GLPL.SI> is now between a Chinese
consortium backed by the company' s management and a rival group
led by Warburg Pincus, sources said ahead of a Friday deadline
to submit bids for the $10 billion-valued firm.
The acquisition offers a chance for bidders to grab control
of Asia' s biggest warehouse operator which counts Amazon
< AMZN.O> among its clients and is benefiting from rising demand
for modern logistics facilities, driven by a boom in e-commerce
business.
It could rank as one of the biggest private equity backed
deals in Asia.
Singapore-listed GLP was thrust into the spotlight late last
year after sovereign wealth fund GIC, which owns a 37 percent
stake, nudged it to start a strategic review of its business.
JPMorgan was then hired by GLP as its financial adviser.
GLP' s shares have since soared nearly 50 percent to the
highest in more than three years.
After months of negotiations with a special committee of
GLP' s independent directors, the race has narrowed to between a
group led by Chinese private equity firms Hopu Investment
Management and Hillhouse Capital Group, with the support of GLP
CEO Ming Mei, and a rival consortium headed by Warburg Pincus
and its logistics partner e-Shang Redwood, the sources said.
GLP, GIC, Warburg Pincus, Hopu and Hillhouse declined to
comment when contacted by Reuters. The sources declined to be
identified as they were not authorised to speak about the deal.

A few things have troubled me about this deal - firstly why is GLP essentially unable to make any cash flows or decent quality earnings despite this much-hyped growth over the last few years in the supersexy ecommerce space in China. You' ll note that a third to a half of reported profits are just revaluation gains, i.e. can be conjured out of thin air. Why did the share price languish below IPO level 7 years ago until this deal emerged if it' s such a great story? Is the company badly managed - if so how does getting a CEO-led consortium in change that? Why are GIC selling given it' s such an exciting opportunity? They usually hold dogs till the very end and beyond (look at Olam for example, which probably shouldn' t even exist now). I would not be that surprised if the due diligence has turned up some rather concerning issues. All this said, the word from China is that the deal will definitely happen and at a decent price, and we' ve seen terrible companies taken private by China buyers for reasons best known to themselves (see Biosensors). I have no idea if that' s true, but it' s just not a risk I want to take as the trade is hugely crowded with the world' s arbitrage funds and also retail investors, it could turn very ugly if there' s another delay (which is a reasonably good chance I think). The news that the bidding has not been fair is also not encouraging and I' ve raised with SGX and MAS, who presumably will turn the usual blind eye to corporate malfeasance, undermining Singapore' s one squeaky-clean image still more.   | ||||

If this is the case, then there could be a protracted negotiation process to arrive at an agreeable price.   Who would want to overpay?   As an investor, GIC would aim for the best possible price.

Here's the BT report Global Logistic Properties (GLP): Friday is the deadline for bids by interested parties to buy the provider of modern logistics facilities. The exercise was, however, recently plagued with reports alleging insider bidding and that almost all its potential bidders were dropping out of the race. The company has since clarified that it has undertaken measures to alleviate potential conflicts of interest and ensure fairness of the process. |
