This means he is entitled 50,666,666,666 warrants.  The warrant can be convert to mother share at 9.5cents.  Do you think he will  exercise the option to convert the share?  if he does, it will exceeded 90% that trigger to take over. Think about it? Do you think he will folding more than $4.8billion into the company? Got so much cash!!

The foc warrants is his pattern of sweetening the deal for the retail shareholders you may say. Well....let's see since Rowsley is going to the dogs anyway with this deal it has livened up. Not sure what' s the next project. The reality is shareholder' s are being taken for a ride. Simple situation. I own 70% of a company. You own 30%. I own a property which I bought for $100k. I sell it to our company for $500k and tell the world it' s arm' s lenght transaction. Why? Because both buyer (me, since I own majority of the company) and the seller (me again) agreed that that' s the fair value. To fund this purchase, I issue new shares to me. I now own 85% and you 15%. Then I issue warrants and piggyback warrants, but not to myself. You' ll feel happy right? Only if its worthwhile to exercise it.  If, Rowsley was really fair to ALL shareholders, they would have called for an independent valuation of TMC. They would have hired proper financial and legal due dilligence experts. And they would have needed to be transparent on the economic value of TMC - what is the PE ratio, what are the assets, any debt AFTER proper normailising adjustments.
