ENTRY INTO LEGALLY BINDING TERM SHEET

The gain on disposal after completion of the disposal of the Sale Shares to DSS BioHealth amounts
to approximately S$73.63 million (equivalent to approximately US$52.55 million)

The Consideration is US$50,000,000 (equivalent to approximately S$70.20 million) which
represents approximately 201.06% of the Company&rsquo s market capitalisation of approximately
S$34.92 million on 11 March 2020, being the last full market day on which trades were done
preceding the date of the Term Sheet. The Company&rsquo s market capitalisation was determined
by multiplying the number of shares in issue (1,163,934,284 shares) by the weighted average
price of such shares transacted on 11 March 2020 (S$0.030).

Give u a better good news. SED is getting shares in lieu of payment. the shares exercise price is 0.216. now is 0.2795. yesterday high was 0.52. it 3.2x yesterday. Also why they bhave NOT announced? How come I as an investor know more than their insider/sponsor? This people never do their job.

I caused the Trading Halt. Here' s the News (it was released in the USA yesterday). The share of the Buyer (DSS) more than doubled! I wrote to SGX and the Company, and the Sponsor then they reply then got halted! This morning I bought 150,000 at 0.028/0.029. Here' s the News:

Document Security Systems, Inc. (DSS) (NYSE:  DSS) today announced that it has entered into a binding term sheet to (&ldquo Term Sheet&rdquo )  acquire  Impact Biomedical, Inc. (IMPACT), a company engaged in the development and marketing of biohealth security technologies, in a proposed share exchange transaction with a purchase price capped at $50 million, subject to completion of due diligence and an independent valuation. According to the terms of the Term Sheet between the parties, DSS will issue up to 14.5 M shares of common stock and a perpetual convertible preferred stock to which DSS will have certain customary rights and requirements, including appointing members of the Board of Directors of IMPACT. The preferred stock will be convertible at $0.216 per share and have a 19.9% blocker.

This has caused the Company acquiring Impact price to double. I believe that there is an obligation to  announce this on SGX?
