Thereafter, the SGX-ST will suspend trading in the Company’s securities following the completion. In accordance with Rule 1017(a) and (b), the Company will thereafter: (i) place 90% of its cash and short-dated securities in an account opened with and operated by an escrow agent which is part of a financial institution licensed and approved by MAS. The amount placed in the escrow account shall not be drawn down until the completion of the acquisition of a business which is able to satisfy the SGX-ST’s requirements for a new listing, except for payment of expenses incurred in a reverse takeover approved by shareholders and pro-rata distributions to shareholders and 16 LETTER TO SHAREHOLDERS (ii) provide monthly valuation of the Company’s assets and utilisation of cash, and quarterly updates of milestones in obtaining a new business, to the market via SGXNET. The Company intends to actively pursue the acquisition of the entire issued and paid-up capital of Trechance Holdings Limited pursuant to the memorandum of understanding entered into by the Company (as announced by the Company on 28 September 2012), as well as other acquisition opportunities in line with the Company’s long term plans and in the area of real estate. The Company will continue to keep Shareholders updated on a timely basis of the Company’s financial situation as well as progress in resolving issues the Company may face in order to resume trading.
