Wilmar to take over Goodman Fielder for US$180 million MON, MAR 11, 2019 - 6:42 PM MAINBOARD-LISTED agri-business group  Wilmar International is consolidating its stake in food manufacturer and distributor Goodman Fielder under a share purchase agreement inked on Monday. Wilmar will pay US$180 million for a 50 per cent interest in Goodman Fielder holding company FPW Singapore Holdings, in a deal with a subsidiary of Hong Kong-listed Oceanica Developments. It will also take over US$95 million in shareholder loans made by Oceanica to  an FPW subsidiary, and may pay Oceanica another  US$50 million after 2020 if Goodman Fielder meets certain earnings targets. The performance of the Goodman Fielder group can be significantly improved if it comes under Wilmar' s full ownership and management, argued Wilmar, in giving the rationale for the transaction. It said that the value of the acquisition - which is still subject to certain conditions being met, such as gaining the relevant regulatory approval - was reached based on a valuation of the Goodman Fielder group and with the outstanding shareholder loans taken into account. Wilmar will pay for the deal with internal resources and does not expect the transaction to have a material impact on consolidated net tangible assets and earnings per share for  the year to Dec 31, 2019. https://www.businesstimes.com.sg/companies-markets/wilmar-to-take-over-goodman-fielder-for-us180-million |

UOB KayHIan (25/02/19) Wilmar&rsquo s share price decline of 3.8% after its results announcement is not justified. 2018 reported the highest EBITDA since Wilmar was listed, led by good performances from the oilseeds & grains division and associates. 2019 could see some pressure from soybean crushing operations in 1Q, but a recovery in crushing margins is expected to come in 2Q and support should come from tropical oils, rice & flour as well as the consumer pack segment. Maintain BUY. Target price: S$3.90.    |

Maintain Add due to attractive valuations and plans to unlock value (CGS/CIMB 21/02/19) Strong 4Q core earnings despite challenges ■ Final core net profit was above our and consensus&rsquo expectations. ■ However, Wilmar warned that 1Q19 soybean crush margin may be lower. ■ Maintain Add but with lower SOP-based target price of S$3.96/share. We continue to favour Wilmar for its attractive valuations and proposed plan to list its China operations. The stock currently trades at a forward P/E of 13x and P/BV of 0.96x. Key risks to our view are lower-than-expected crush and refining margins, as well as lower CPO and sugar prices.    |

Wilmar Q4 net profit halved by impairment on Australian sugar assets THU, FEB 21, 2019 - 6:55 PM WILMAR International' s net profit for the fourth quarter more than halved to US$200.9 million from a restated US$426.7 million a year ago chiefly due to impairment on sugar-milling operations in Australia on the back of a prolonged slump in sugar prices. Due to continued depressed sugar prices, the agri-giant said it chose to be conservative and provided for an impairment of US$139 million on goodwill and sugar-milling assets in Australia even though the milling operations have been generating positive cash flows since acquisition. https://www.businesstimes.com.sg/companies-markets/wilmar-q4-net-profit-halved-by-impairment-on-australian-sugar-assets   |

Wilmar posts 53% drop in 4Q earnings to $272 mil on lower margin, one-off impairment 21/02/19, 06:14 pm SINGAPORE (Feb 21): Wilmar International saw its earnings fall 52.9% to US$200.9 million ($271.5 million) for the 4Q18 ended December, from US$426.7 million a year ago. The decline was due mainly to a provision for impairment on the Australian sugar milling assets. Wilmar incurred a non-operating loss of US$129.8 million during the quarter, compared to a non-operating gain of US$65.5 million a year ago. This brings full-year earnings for FY18 to US$1.13 billion, some 5.7% lower than earnings of US$1.20 billion a year ago. Wilmar has recommended a final dividend of 7 cents per share for the period, unchanged from a year ago. Together with an interim dividend of 3.5 cents paid earlier, this brings total dividends for FY18 to 10.5 cents &ndash 5% higher than total dividends of 10 cents a year ago. &ldquo The group performed well in 2018 even though we were affected by low palm oil and sugar prices in our upstream operations and volatile soybeans market created by the US/China trade tensions,&rdquo says Kuok Khoon Hong, chairman and CEO of Wilmar. Moving forward, Kuok says Tropical Oils should continue to do well in 2019 with the recent recovery of crude palm oil prices and satisfactory margins in downstream processing, while the group&rsquo s other businesses are also expected to perform favourably. https://www.theedgesingapore.com/wilmar-posts-53-drop-4q-earnings-272-mil-lower-margin-one-impairment |
