(TOKYO, Japan - August 4, 2023 - Leading semiconductor test equipment supplier Advantest Corporation (TSE: 6857), through its subsidiaries Advantest America, Inc. and Advantest Test Solutions, Inc. has secured a settlement in an arbitration against AEM Holdings Ltd., Lattice Innovation, Inc., and Samer Kabbani (collectively, " AEM" ). Among other terms of the settlement, AEM must pay $20 million to Advantest and immediately terminate any exclusivity provisions that previously blocked Advantest from working directly with a sub-supplier.
Furthermore, Advantest, which has a robust and growing IP portfolio of patents and trade secrets covering its thermal control, active thermal interposer, and wafer active thermal interposer technology, did not license any of its IP to AEM as part of the settlement and remains free to assert any claims for IP infringement against AEM in the future. Advantest filed the arbitration alleging that Kabbani, while working full-time as an Advantest Test Solutions, Inc. Vice President, was also serving as the CEO, board member, and a principal owner of a side business, Lattice inserted Lattice into Advantest' s supply chain without disclosing his active involvement in Lattice and, further, arranged to have a sub-supplier locked into an exclusivity contract with Lattice, which allowed Lattice to gatekeep Advantest' s access to that sub-supplier. AEM then hired Kabbani as its Chief Technology Officer and purchased Lattice. Advantest brought claims in the arbitration against Kabbani, AEM, and Lattice.) Very disappointed on this recent legal suit.  Of course as in the past, the Co will deny it.    We were taking the Co has put behind its messy periods - stock record errors, new system migration error, settlement of US$20 million with advantage .. Let say, even the revised guidance on its revenue whic the Co is sticking by, is nothing to crow. If it loses the legal suit which will drag managment time which could be better utilised, may hit the bottomline manifolds of its current revised revenue and estimated net profits. Maybe, as Tong rightly pointed out, there may be more to it to the previous CEO' s retirement. Will wait to see how the case play out and the Co' s third quarter update in November.    |

AEM Holdings Ltd. (the ?Company? or ?AEM?) wishes to inform its shareholders that Advantest Test Solutions,
Inc. (?Advantest?) has filed a complaint alleging patent infringement against the Company and its subsidiaries, AEM Singapore Pte. Ltd. and AEM Americas, Inc. Advantest's complaint, which it filed in the U.S. District Court for the Southern District of California, alleges infringement of U.S. Patent Nos. 11,674,999 and 12,320,841. The patents relate to a specific wafer level test system that is not practiced by AEM. AEM has its own extensive patent portfolio and respects the intellectual property of others. It strongly denies the allegations in Advantest's complaint. AEM has already retained U.S. counsel to defend itself against Advantest's claims, which lack merit. The parties were previously involved in arbitration, which was settled on 28 July 2023. Please refer to the Company?s announcement dated 28 July 2023 for more information on that matter, and the terms of settlement. The filing of Advantest?s latest complaint does not affect AEM?s business operations, its existing commercial offerings or products, or its ongoing ability to serve its customers. The Company maintains its revenue guidance for 2H 2025 as previously announced on 13 Aug 2025.
