(Incorporated in the Republic of Singapore) Company Registration Number: 199201624D PROPOSED SALE OF THE AMOBEE BUSINESS TO TREMOR INTERNATIONAL LTD. Singapore Telecommunications Limited?s (?Singtel?) wholly-owned subsidiary, Amobee Group Pte. Ltd. (?AGPL?), has entered into a sale and purchase agreement (?Sale and Purchase Agreement?) to sell all of its equity interest in Amobee Asia Pte. Ltd., Amobee, Inc. and Amobee ANZ Pty Ltd to Tremor International Ltd. and/or its designated nominees (?Tremor?) (the ?Amobee Divestment?). This follows the announcement made on 27 May 2022, that its digital media and advertising subsidiary Amobee, Inc. had been classified as a subsidiary held for sale from 31 March 2022. The Amobee Divestment will allow Singtel to reshape its portfolio to ensure optimal allocation of resources towards new growth drivers, as well as improve shareholder value. The Amobee Divestment will exclude the email solutions business of Amobee, Inc., which will be reorganised and carved out of Amobee, Inc. and transferred to AGPL or its nominee prior to closing. The Amobee Divestment will be at an enterprise valuation of US$239 million and the estimated net cash proceeds after deducting transaction costs expected to be incurred in connection with the Amobee Divestment, and other customary adjustments including debt and net working capital adjustments, is expected to be approximately US$197 million at closing (?Completion?). The consideration for the Amobee Divestment was arrived at on an arm?s length willing-buyer willing-seller basis, following the conclusion of a competitive process for the Amobee business. The carrying value of Amobee Asia Pte. Ltd., Amobee, Inc. and Amobee ANZ Pty Ltd as of 31 March 2022 was US$160 million. Completion of the Amobee Divestment is expected by September 2022 and is subject to the fulfilment of certain condition precedents under the Sale and Purchase Agreement, including the receipt of relevant regulatory approvals. Following the Amobee Divestment, Singtel will cease to hold any equity interest in the Amobee business, except as may be retained by AGPL following the reorganisation exercise mentioned above. The financial impact from the Amobee Divestment is not expected to be material for the Singtel group. |

Already gotten a 3% gain on Singtel in the recent purchase, like within a month or two, or 18% annualized, and dividends on the way to add on.        Quite happy with the decision to buy Singtel shares at a time when people were shorting it.

Didn' t see this report, but this is very good news.      UOB KH didn' t mention about the Amobee and Trustwave potential sale (DBS said this would take off the burden of losses on Singtel' s bottom line).    The two companies have been a scourge on Singtel, and why the company went into areas they are unfamiliar with, making such huge losses is a question unanswered.    They should have clawed back the CEOs bonuses and pay for such serious mistakes.      Anyway getting rid of these two companies was also not easy, so the push is very much in line with current thinking to raise profitability rather than to " look good" in the end looking like fools.  All the more reason for Singtel to rise up beyond the $3, first to break the previous high of $2.88 I think, and then onto $3.      Just need one more good news to make it happen.

Singtel to post 3-year earnings CAGR of 15%
This is on the back of the company's 5G businesses in SG and Australia. Singtel will likely post a three-year (FY22-25F) earnings compound annual growth rate (CAGR) of 15%, a rebound from the -12% it recorded during the COVID-19 period (FY19-22). In a report, UOB kay Hian cited four factors behind Singtel's improved performance and the first of which is the company's monetisation of Singtel's 5G business in Singapore and Australia. "Singapore?s 5G consumers are currently being offered, on a bundled basis (connectivity, entertainment, handset), the XO Plus plan. Singtel is also starting to commercialise 5G enterprise applications, particularly in advanced manufacturing processes," the analyst said. Apart from its 5G business, Singtel's data centres will also aid the company financially. Currently, Singtel has seven data centres in Singapore with 70MW capacity. Over the next three to five years, Singtel said it will add another 100MW of capacity to its data centre portfolio. "This will create a DC asset close to S$7-8b within five years," said UOB kay Hian. In FY23, the company is also expected to announce its data centre partnership with Thailand and Indonesia. Expansion of assets is not the only way for Singtel to gain, according to UOB Kay Hian, adding that the company will also benefit from the divestment of its wholly-owned subsidiary, Amobee, in the next 12 months. In FY22, Amobee recorded an operating loss of $70m. Lastly, UOB Kay Hian said inflationary pressures will also bode well for Singtel in the sense that its subsidiary Optus was able to increase its prices. Together the four factors will "pave the way for Singtel to narrow its holding company discount," said UOB Kay Hian. |

Brokers? take: DBS raises Singtel target price on potential sale of subsidiaries
ELYSIA TAN JUL 19, 2022 03:33 PM DBS has raised its target price for to S$3.24 from S$3.20 previously, revising its earnings estimates for the telco ?after a long time?. It maintained its ?buy? call. The target price represents a 22.3 per cent upside from its share price, which closed 0.4 per cent or S$0.01 lower at S$2.65 on Tuesday (Jul 19). In a Tuesday report, DBS analyst Sachin Mittal noted that Singtel may potentially classify Trustwave as a ?held for sale? subsidiary. Amobee was classified as a ?subsidiary held for sale? as at Mar 31 this year (*see amendment note), which means that its revenues and earnings might not be captured in Singtel?s reported profit. These changes prompted 5 per cent and 4 per cent increases in DBS?s earnings estimates for Singtel in FY2023 and FY2024, respectively. Sky News reported that Amobee, which has largely been loss-incurring, might be sold to London-listed adtech firm Tremor for an estimated £165 million (S$275.4 million), Mittal said. Singtel has also mentioned the potential sale of loss-generating Trustwave a few times previously, DBS said. It anticipates the subsidiary?s divestment in 2023 and classification as ?held for sale? in Q2 or Q3. Overall, the classifications could result in avoiding an estimated S$200 million to S$210 million in annual operating loss, Mittal said, though savings would be slightly lower in FY2023 due to the timing of Trustwave?s classification. Furthermore, Optus in Australia has raised the price of Optus-choice plans by A$4 (S$3.83) for existing subscribers in early July this year, boosting its average revenue per unit. It will increase the prices of all tier plans from Aug 8, alongside an increased data allowance. ?Among regional telcos, Singtel offers far superior growth than other telcos that pay dividends,? Mittal said. While core business segments were hit during Covid lockdowns, they are gradually recovering. DBS projects core operating profits will recover by 33 per cent in FY2022 excluding one-offs, and another 27 per cent in the following financial year. With a yield of over 4 per cent, ?Singtel offers a better mixture of yield and growth compared to other Singapore large caps? that is similar to Singapore banks, while being less reliant on the economy, Mittal added. ?Increasing contribution from associates will further support the telco?s earnings growth, making the company an exciting stock.? |
