This death spiral borrowing by directors should be prohibited by SGX.   How to do it?   Simple, just require SGX or MAS to view an agreement since SGX or MAS has legal powers over financing and lending.   If they notice that the issue of shares for the borrows are terms of the loan, they should advice the investing public not to approve or the authorities themselves will disapprove it and subject such financing to attract punishment under the law.
