In conjunction with the Proposed Acquisition and the Proposed Mainboard Transfer and subject to Shareholders' approval being obtained, the  Company proposes to undertake a share consolidation exercise  (" Proposed Share Consolidation" ) based on such ratio as may be mutually agreed between the Company and the Vendor, if necessary, to allow the Company to  comply with the requirement of the Mainboard Rules for a minimum issue price of S$0.50  under Rule 1015(3)(d) of the Mainboard Rules. The details of the Proposed Share Consolidation will be set out in the Circular to be despatched to Shareholders in due course.  As mentioned, they just have to consolidate the number of shares you own from 500k shares to 700 share, your $/share is $5/share

That' s a classic e.g. MAINBOARD-LISTED  Rowsley will acquire the privately held Thomson Medical, which is a provider of healthcare services for women and children in Singapore, and a 70.36 per cent stake in Malaysia-listed TMC Life Sciences (TMCLS). To fund the purchase, Rowsley will issue 21.3 billion new shares at S$0.075 per share. Rowsley will also acquire 597 million TMCLS warrants in cash. Not paying $12m for a $1bn valuation company What was agreed between the party is, if the valuation comes down to $12m or less, QT must issue shares at least on the value of $12m. (I.e. min price to pay is $12m if the valuation is above $12m, QT has to pay more) The below cannot be at $12m. (a) all permits and licenses to mine half a billion tonnes of coal positioned in the middle of Mongolia near major infrastructure based on an international standard NI-43-101 peer-reviewed competent-persons-report detailing the coal asset quantity and quality (b) all designs, permits and licenses to build and operate a world-class 600MW coal fired power plant (c) all designs, permits and licenses to build and operate the required electricity transmission infrastructure (d) executed agreements with a Chinese State Owned Enterprise to build a state of the art power plant which will also provide 85% debt-financing for the construction of the power plant. x 0   x 0  Alert Admin	Base on current market cap of QT on Fri closing: $15,646,904 (2,235,272,000 shares × 0.07). QT proposed share issuance: $1bn (186,272,625,000 shares × 0.00537). Total number of shares post-acquisition: 2,235,272,000 (1.19%) + 186,272,725,000 (98.81%) = 188,507,897,000 (100%). Hence, based on the shareholdings, QT will lose control of the company. The Vendor, Target (private company) will be the owner of QT(listed company) post-acquisition (Reverse Take Over). As the market cap post-acquisition is expected to be above $1bn, the new entity will request to transfer from catalyst to mainboard. Think there is a requirement to ensure the price to be at $0.5/share. Hence what the company will do is, If you own 500,000 shares at $0.007/share = $3,500 They will consolidate your share to 7,000 shares (7,000 x $0.5/share = $3,500). Of course, nothing is stopping the new entity from consolidating your shares to 700 shares (700 x $5/share = $3,500). Advantages of the RTO are: It is way quicker and cheaper for a private company to be listed. Successful RTO can improve existing company liquidity and share value. The new  entity might also offer existing shareholders a chance to sell their shares to them at a favorable price. Existing owners of QT might also want to push up the price for a better exit (they will lose control anyway)
