Do you know if the notes subscription must be in the thousand ? I had 50K shares prior CO So I could subscribe 93 x 50 = 4650 Can I subscribe the exact amount ? Or it need to be round up / down ?

Yes, correct, in the beginning year of warrants of company which has promising future, very few will convert it to shares, unless you are the major shareholders who want to inject the money right away. The notes will be traded start from 25 Feb, so you have the option to sell the notes in the market. But there will be a discount on its price. Let say we assume market will rate with 4% interest per year, then the notes price will be 76 cents. If 5% then 71 cents, if 6% then 67 cents, if 7% then 62 cents. But of course if you don' t sell and wait until redemption, you will get 100%. For me, if market rate down the notes let say at 7%, I am better to keep it. Because you cannot get this 7% interest anywhere in Singapore financial market as retailer, unless you are the big player itself.

Thanks again! In this case Keppel is taking Krisenergy as a really long term investment. Unless the stock rises high enough, then it is worth while to convert them into shares, but the downside is that the notes had to be hold for 7 yrs provided the company still survives.   |

Yes, for Ezion right now, if someone buy warrant at market and exercise it, he will incur cost $0.539. But for warrants that still have long period to due, buyers buy warrants now are not for exercising the warrants now, they hope the share price will increase in the future, and either they sell again the warrants in the future or exercise it in the future. Why buy warrants and not the shares itself, mostly because (1) buying warrants are cheaper than the mother shares itself (2). If mother shares price increase, the percentage of profit for warrants are higher than mother shares itself, that is why they are willing to pay for premium. If warrants price doesn' t have premium, warrants market are not very liquid, because no incentive for the holders to sell. For KrisEnergy, with current shares price $0.2, the warrants price will be more than $0.09.

If Excercise cost is $0.45 and warrant cost is $0.089 cents that' s mean per share redeem is cost $0.539 right? Which is more expensive than market share price of $0.45 right? So for the warrant most like is expected to be $(0.2-0.11)=approximately $0.09 right?

Warrant price is usually share price - exercise cost + premium. The longer warrant expiry date, premium will be greater. For example, Ezion share price now is 40 cents. Ezion warrant exercise cost is 45 cents. The difference is -0.05 cents, then logically nobody wants the warrant and warrant price should be 0.1 cent right? But no, the warrant price now is 8.9 cents, so it has 13.9 cents premium. KrisEnergy warrants expiry date is 84 months after issuance.

My note offer is already at CDP. If yours is already in your CDP, you just go to ATM and subscribe the notes. Latest to subscribe is on 16 Jan. Notes and warrants will be registered in your CDP on 24 Jan.

Hi, need some advice on this warant thingy. How is the warrants being exercised based on the example: Here.  Example A company has warrants exercisable for ordinary shares on a basis of one share per warrant at an exercise price of S$1.50, expiring on 31 July 2005. The current price of the warrant is 30 cents and that of the share is S$1.60.  Each warrant costs you 30 cents. Before 31 July 2005, you have the right to subscribe for the share at $1.50. Your total cost will be S$1.80, compared with only S$1.60 if you buy the share now. The difference of 20 cents is the premium you pay if you believe the share price will rise but you do not wish to commit a large sum of money for the shares now.After 31 July 2005, the warrant expires and is worthless. You must exercise the warrant, i.e. subscribe for the underlying share, or sell it five market days before the expiry date. Understand that the excercise price is $0.11 So how is the warrant price is being determined for Krisenergy?     |

My guess... The first few session will probably see some drop in price as people might want to lock in the free warrant profit. After which, it really depends if the company can generate profits after taking into account their operation and investment activities and the global crude oil price. If oil price can maintain at this current level or higher, Kirs will likely start generating profits to pay down debt. For most people that take up the offer, I believe they will wait and see, since we got 7 years to decide to convert into shares or sell off on open market. If its really good, Keppel might just consider privateization some years down the road since they already own close to 40% of the company. I believe I have read somewhere that they are prepared to take up the leftover offers should there be any that are not subscribed by the shareholders....
