This is what Independent Directors MUST do => PROTECT the Minority Shareholders!! An example shown here in CDL case. And definitely NOT with Sin Heng Independent Dirctors!! An offer of NZ$2.25 a share for the New Zealand unit was first rejected by its independent directors in February, who said it was &ldquo too low and is inadequate&rdquo . After the offer was raised to NZ$2.80 a share in April, it was rebuffed again by the directors.

Who knows that these lowball SSH and owners may attempt to buy up the shares throughout this year. Anything lower than $1.15 is still cheaper for them than paying the reasonable rate.
How we wish they were reasonable SSH like those in Amara. |

I find this action suspicious and understand now on why SIAS brought up the query, plus the poor explanations by the Board. See next post. Why buy a HDB shophouse in Nov 24 AT $2.775M for 52 yrs lease to go?    A very good way to convert cash to asset, rather than sharing with current shareholders.  And especially tricky since they have already plan to takeover & privatise the Company, so all future earnings would go back to them. It seems that we need to scruntinize all future financial statements & actions by the Management. It requires the effort of everyone to bring out any discrepancies on public forums and to SIAS for further actions.    |

The Offeror is desperate to scoop up available shares in the market up to 60c since there' s a confirmed dividend of 5 cts now. These are already better than those who offers their shares, where you lose the dividend or it would be subtracted from the offer price. Also, do those who sell their shares now knows about the coming dividend? Hope you know now. Good luck |

Agree bro. Amara offered 60cts (already a 70% premium) and was rejected by shareholders last year. Yesterday they offered 89.5cts
Sin Heng?s lowball offer of 58cts (just a measly 6% premium) will surely be rejected by shareholders today too. Let the lowball offer lapse. Wait till they come back with a reasonable offer in the coming years or just enjoy the 7-11% dividends annually. They need to keep on paying good dividends as they are paying themselves too. Plus SIAS watchdog is watching their every step. We minority shareholders support Sin Heng since IPO days and this is how they want to treat us shareholders. Very ungrateful, unlike Amara.
