Keppel O& M which were used to world no.1 rig builders are a bigger entity, this is common understanding in the market.

Bear in mind, the merge plan is subjected to SCM and Keppel Corp shareholders Vote.

SCM had gone through rights at 8cents and majority of shareholders holding 8cents, for merge plan, it is a safe line for SCM.

Keppel corp shareholders are still the existing one who went through glory of share spliting few times but price stil going up after spliting know who brought their investment few fold, not Keppel land, no keppel T& T and etc. It is Keppel O& M. No favour plan, No deal

Highly Likely, 

1) Sembmar brand name will not be renamed. The combination entity usually will use the more reputable brand name, obviously Keppel O& M is more famous and well known.

2) 31Bil shares @ 10cents now will be cancelled off completely. New shares with new price will be allocated to Keppel Corp shareholders and SCM shareholders with a ratio as per the agreement.

3) As per current order book and 2021 financial year performance. SCM pre tax loss 1.2Bil, Keppel O& M pre tax loss of 77mio. SCM order book 1.3Bil Keppel O& M 6.1Bil and etc. it will be either high ratio distribute to Keppel O& M or a cash payment for Keppel Corp shareholders as good dividend payment to compensate for a 50-50% split. Due to cash tight for both entity, high ratio distribute to Keppel O& M is highly likely.

Sembmarine up 4.2% after heavy trading
SHARES of Sembcorp Marine (Sembmarine) jumped as much as 6.3 per cent amid heavy trading on Monday (Apr 4) morning.
 
The counter reached S$0.102 at 9.29 am, rising 6.3 per cent or S$0.006.
 
It ended the day up 4.2 per cent or S$0.004 at S$0.10, with 185.2 million shares changing hands, making it the most traded counter by volume.
 
Last week, Sembmarine and Keppel Corporation said more time and deliberation were needed to advance the proposed combination of Keppel Offshore & Marine (Keppel O& M) and Sembmarine, although " significant progress" has been made.
 
This came some 9 months after both parties first announced talks on potentially combining the entities. Both need to complete due diligence, reach a mutual agreement on the transaction terms and finalise definitive legal documentation.
 
On Mar 30, Sembmarine' s shares dived after the group gave notice that it recorded 3 consecutive years of pre-tax losses.
 
The group has a 6-month average daily market capitalisation of S$2.6 billion as at Mar 28, which means the group still meets the financial entry criteria to avoid being placed on the Singapore Exchange' s watch list.
