thinking it through i rmb the management mention they are rewarding long-time and loyal shareholders. i guess their define the long timers as those sticking since ipo and before the rights issue, who will get more worth for their money compare to the later shareholders. they are just separating the sheeps and goats

Looks like a " buy" signal to me. But, no thanks. I' ve enough of DeClout. Biggest resistance could be at 20/21 whereby many of us would unload. Enough! |

Disappointing! I guess DeClout is trying to avoid the xd effect Looks like only those who hold long term will be meaningful. And there' s no guarantee too.   |

First time see this way to rewards shareholders.   But actually long term wise major shareholder who are company executive benefits in the end.   Why? If the company give out that $7.2mil as dividend, then each share gets 1.07cts.   So for 100lots, div payout is $1070 giving a total of $21,070 (so comparing with the $20,391 from sharebuyback, this one slightly more " exciting" ?).   So this sharebuyback really doesn' t benefit everyone (including the major shareholder which then make this whole scheme looks fair) much in terms of monetary values.   For this way to reward shareholder you lose 3.4% holding for a net gain of only $391.  The div method is better becos you keep all your shares and get $1070. Now what happen to those shares being bought back?   Ended up as company tresuary shares and who can benefit from them?   Every quarter and year-end are oppounity to rewards mgmt for good performance.   They can get back that 3.4% shares or more without spending a penny.   So they can accelerate the stake up.   WHy I say accelerate?   They dilute you anyway through the share award.   But taking away some of your share at the same time just make it faster. On price action, the buyback can be more deceiving becos many time peole don' t read announcement carefully and they can read it as " buy back your share @31.5cts" .   So ended up shooting the price to 30.5-31cts before retracting quickly so don' t be surprise if that happens and don' t be surprise that it was done by a bunch of people who don' t spend enough time reading annonucement.   Anyway if it does happen, market will quickly take advantages of them. Anyway, if you vote against this, company might keep the monies and dont give out, you lan lan.   Unless you are major enough to call the shot, you should request company to just give that $7.2 mil as dividend.   Simple and straightaway.   When company come out with such " scheme" , there are reasons for it.   But too bad, most probably ended up having to accept their " scheme" . Scheming or am I dreaming? DYDD.

Assuming you bought 100 lots  at 20 cents ==> $20000 You are allowed to sell to them 3.4% at 31.5 cents ==> 3.4 lots at $1071 So you are left with 96.6 lots. Assume you can sell at 20cents ==> $19320 So total = $20391. ==> Earning of $391 assuming you can sell off at 20 cents. Hardly " exciting" about it..

company has decided $7.2m as reward from sale of Acclivis.
to pay all in outright payout, effect will be one-off. To spend all $7.2m on share buyback, shareholders will be upset if price doesn't move up. Probably they adopt "in between" approach. |

Possible as we more or less agreed this is "controlled" stock.
If price indeed fall, the outright payout yield will increase & attract buying. The announcement describing this as part of the payout solely due to disposal of Acclivi. The payout is conditioned upon disposal completion (target by end Dec) & EGM, so can expect to receive $ in Jan-17. There still a possibility of dividend payout which is from normal business operation performance but that need to wait till full year result & AGM, payout if any, would be May-17 |

For all you know, price may fall tomorrow as shareholders were expecting some form of a larger payout

Not quite exactly...
Dividend yield = ($0.315 - $0.19)*3.4% / $0.19 = 2.23% As outright payout benefit should be taken from the excess of current share price of $0.19 However, extended gain could come from increase in share price which may or may not materialize |

$0.315 * 3.4% / $0.19= 5.64%
It is like giving 5.64% dividend yield to the last closing price of $0.19. The coy cant do open market share buy back using $7.245m to buy 23 mil shares, as this will push up the market price or unless they dont want to push up. Shareholder may tender excess of their entitlement but they wont buy back exceed the total 23mil shares commitment. For me i will round down to nearest hundreds shares. Tomorrow likely will open above $0.20. |

Hardly significant isn' t it? Unless market buy up to this 31.5 cents price ' set' by the company. They can also offer to buy 170 shares for every 10,000 shares at 63 cents lol

If you have 100000 shares they buy 3400 shares from you at 31.5 cents. Hardly exciting...
