This is to prevent manupulation by certain parties under takeover codes. Normally, it will be based on a formulae, e.g. past 6 months weighted average price. Using SMRT delisting as an example by Temasek. SMRT was listed in 2002 at $0.61 per piece. After 14 years, in 2016, Temasek offered $1.68 per share to privatise the company. NAV was $0.521 when Temasek made the offer. If you bought at the IPO price and kept it for 14 years, your return is 175.41% excluding dividends. Of course during the course of 14 years, many investors chased the stock, some who bought at $1.95 or higher. These group of investors may lose a bit but the years of dividends may be able to cover up or reduce the losses. The offer was very reasonable, and many houses recommended investors to accept the offer. Back to SIA, if Temasek will to offer $2 or $3 to take it private, it will be seen as daylight robbery, and many minority shareholders will not approve the deal. Temasek won' t do such a thing as it will tarnish its reputation. Based on the latest financial result, SIA' s NAV is $11.22. The current quarter is definitely a lose making. What SIA is facing now is cash flow. It needs money to pay salaries, etc to keep the company running. I can' t say for sure that Temasek will offer $7.60 but it is definitely not $2 or $3. It takes SIA more than 30 years to build its empire but it just takes a health crisis to bring it to its knees. All the pioneers / old guards of the government / stakeholders efforts have gone to waste. Hopefully the current 4G leaders are able to help the company.
