The Board of Directors of the Company wishes to announce that the Government of Myanmar

has issued a Certificate of Incorporation (Temporary) dated 30 August 2013 for the incorporation

of UPP-MSP Engineering Limited (?

The capital of UPP-MSP will be US$12,000,000 divided into 12,000,000 shares of US$1.00 each.

As announced previously, the total issued and paid up capital of UPP-MSP will be held in the

following proportions:-

(i) MSPL, 3,000,000 shares representing 25% of the share capital of UPP-MSP and

(ii) UPP Greentech, 9,000,000 shares representing 75% of the share capital of UPP-MSP.

In the meantime, UPP-MSP has also been granted a Form of Permit (Temporary) to carry on

business relating to,

services, know-how and technical knowledge to companies carrying out construction and

infrastructure related works in Myanmar.

The Company understands that the original certificate of incorporation and permit (original) will

be issued after the completion of registration process and upon the agreement by UPP-MSP of
