when a deal involves 2 parties usually it generates more uncertainty so the share price MAY drop significantly prior to the EGMS. Example: Semb Ind demerger with Semb marine. Becos both set of shareholders not happy with each other, so there were speculations that the  voting during EGMs will fail. That' s why Semb ind dropped from $2+ when the news was announced to $1.6x prior to the EGMs when many semb marine investors said they will vote no. So in the case of Keppel and SPH. If one set of shareholders start to complain that the offer is too high or too low and u see uncertainties going forward and many shareholders say they will vote NO, then i suspect SPH share price will fall from 1.94 after announcement to around 1.70+...  Same goes for Sabana Reits and ESR Reits. Many Sabana reits shareholders say they will  vote NO to the deal, so Sabana reits share price dropped from 38+ cents to 32 cents prior to the EGM becos of the uncertainties. Think have to gauge the keppel and SPH shareholders reaction to the voting during the EGMs.

Don' t get mad, get even. Will be voting to block, at both the SPH and Keppel shareholder ends.  I think it is a lousy deal for both companies. | ||||

Hopefully. So many assets, not just property. M1, data centre , Qoo10 , properties, ..... How they calculated the values of these  Can afford to give few hundred millions away , very pain

I think if we have a good strategy, all of us here can make good profit.  From lowest of 0.99 to 1.90 many people could have accummulation significant profit.  So I think the game for them is to sell.  That mean those who want to buy can wait.  I am thinking of waiting till daily volume falls below 10m then see what to do.

Yes. If you hold until the buy over complete, your 1 shares of 1.9 in SPH will depend on the shares price of the other 2 reit.. $2.1 is base on the projection if the shares price is still the same.. With so many month before the completion, you can make your own guess on the price of the 2 reit.. If both reit price increase, then you can celebrate.

Keppel is not buying SPH with only cash at about   $2.10 $2.10 is made up of 3 components namely  part cash + SPH reit + Keppel reit. If shares of SPH reit and Keppel reit drop, then The value is less than $2.10 and vice versa.

of course $1.80 is a better entry price than $1.90 for a buyer.  But may not be able to get SPH at $1.80 now

what is a good price depends on your risk appetite. For me $1.90 is a good buying price as KC has agreed to take SPH at $2.099

People may be thinking the deal is too hard to push through - too many EGMs to cross. 2 for SPH and 1 for Keppel - do the REITS need to have EGM too???  Scheme of Arrangements are also double-edge swords. The 50% threshold of shareholders voting can be a big barrier if many retail investors are against it.  Think there is grumbling on both the Keppel and SPH retail side.

Left to right only if you hold equal investment in both right? If eg, you hold 40k shares in SPH and 5k shares in KC, left to right only a little bit rest is taking from other KC shareholders I suppose

Well, if it is a SOA, then there is a chance if 50% of the voters at the EGM by voter count can block the acquisition.  Now the retail investors can come out in force to block the deal.

SPH appoints Evercore Asia (Singapore) as independent financial adviser for proposed privatisation dealSingapore Press Holdings (SPH) on Wednesday announced that it had appointed Evercore Asia (Singapore) as its independent financial adviser to advise the company' s independent directors on the proposed acquisition by Keppel Corporation for the purposes of making a recommendation to shareholders.A composite document containing the advice of the financial adviser and the recommendations of the independent directors will be sent to shareholders of the company in due course. Keppel Corp had on Monday made a privatisation offer for SPH' s non-media business through a scheme of arrangement, subject to SPH shareholders first approving the latter' s media restructuring plan. The deal values SPH at S$3.4 billion with Keppel' s share of the deal totalling S$2.2 billion. The scheme will require approval from both SPH and Keppel shareholders. If it goes through, SPH will be delisted and will become a wholly owned subsidiary of Keppel. Keppel will hold stakes of about 20 per cent in both SPH Reit and Keppel Reit. The scheme will only take effect upon a successful completion of the proposed media restructuring. SPH had in May announced a plan to transfer its media business to a company limited by guarantee (CLG). SPH owns and publishes The Business Times, which will be part of the proposed CLG. Shares of SPH ended Wednesday flat at S$1.92.   |
