ENTRY INTO NON-BINDING MEMORANDUM OF UNDERSTANDING 1. INTRODUCTION The Board of Directors (the " Board" ) of KTL Global Limited (&ldquo KTL&rdquo , or the " Company" , and together with its subsidiary, the " Group" ) wishes to announce that on 30 March 2023, the Company had entered into a non-binding memorandum of understanding (&ldquo MOU&rdquo ) with various vendors (&ldquo Vendors&rdquo ) to acquire 2,300,000 ordinary shares representing 100% of the total issued and paid-up share capital of AJ Oasis Inc Pte Ltd (" AJO" ) (" Proposed Acquisition" ). The Proposed Acquisition, if the Company enters into a definitive agreement with the Vendors, is expected to be a major transaction under Rule 1014 of the Listing Manual, and in such event, would be subject to, amongst others, the approval of the SGX-ST and approval of shareholders of the Company at an extraordinary general meeting to be convened, subsequent to entering into of the SPA. Please refer to paragraph 3 for an overview of the principal terms of the MOU. 2. INFORMATION ON AJO AND THE VENDORS 2.1. Information on AJO AJ Oasis Inc Pte Ltd was incorporated in August 2021 and is engaged in the business of wholesale distribution of seafood, poultry, fine meats and beverages to the food service and fast-moving consumer goods (FMCG) retail sales channels. AJO also oversees the sales and marketing operations in Asia for Dilmah&rsquo s ready-to-drink ice tea range of products. AJO has produced and distributed food and beverage products to key customers such as SATS, Kenny Rogers Restaurants, Spinelli Coffee Company, Marina Bay Sands, Carlton Hotel, Capella Hotel in the HORECA channel NTUC Fairprice, DFI Group and Sheng Siong of the FMCG retail channel and also Berjaya Food Berhad in Malaysia. It is also distributing and marketing its products to clients in Malaysia, Hong Kong, South Africa, South Korea and the Philippines. 2.2. Information on the Vendors The Vendors collectively own 100% equity interest in AJO and are not related to any of the Directors or controlling shareholders of the Company. The Board of Directors (the &ldquo Board&rdquo ) of KTL Global Limited (the &ldquo Company&rdquo and together with its subsidiaries, the &ldquo Group&rdquo ) refers to the Company&rsquo s announcement dated 21 May 2021, 2 July 2021 and 13 March 2023 in relation to Mr. Khua Kiang Keong&rsquo s (the &ldquo Plaintiff&rdquo ) claim against the Company for the sum of S$933,800, being the monies, which the Plaintiff had allegedly paid for acquiring his 5,500,000 shares in the Company on 20 April 2015. The Company had been notified that following a hearing on 10 March 2023, the Plaintiff' s application to enter judgment against the Company has been allowed. As such, there is a judgment against the Company for a sum of S$933,800 to be paid to the Plaintiff (the &ldquo Judgment&rdquo ). On 23 March 2023, the Company appointed new solicitors and filed an appeal against the Judgment. The appeal will be heard on 10 April 2023. Notwithstanding, on 24 March 2023, the Company received a Statutory Demand from the Plaintiff for the Judgment sum and related interest and costs to be paid by 14 April 2023. The Board is currently seeking advice from its legal counsel on this, and will make further announcements as and when necessary to keep shareholders informed of material developments in this matter. subsidiaries, the &ldquo Group&rdquo ) wishes to announce that the Company&rsquo s subsidiary, Tianci Agritech Pte. Ltd. (the
&ldquo Defendant&rdquo ) has been served with an originating claim issued by the State Courts of the Republic of
Singapore, taken out by Fastfixs Systems Pte Ltd (the &ldquo Claimant&rdquo ), in relation to the sum of S$203,300.
Pursuant to the statement of claim that was served with the originating claim, the Claimant alleges that the
sum of S$203,300 are monies due and owing to the Claimant in respect of construction works carried out
and completed by the Claimant at the request and for and on behalf of the Defendant.
The Company is currently reviewing its options and will seek further legal advice on the matter. The
Company will make further announcements as and when necessary to keep shareholders informed of
material developments in this matter.
