It is better off for KC to pass KOM to J.M. , so that KC does not need to shoulder the liabilities of KM . I thought merged company will just issue new (entity' s) shares to SMM and KOM shareholders with quantity depending on how much each are valued? So, if SMM has cash and assets valued more than KOM, then maybe SMM shareholders will get 5 and KOM will get 1, new shares.
