" If the Waiver conditions have not been met on the date of the announcement,  the Company must make an update announcement when the conditions have all been met."   mondaybluesy      ( Date: 31-Mar-2021 12:55) Posted: Thanks for your qns Dan.  I am no expert but am glad to share my analysis. i)  Oceanus have not and will not make any announcements that all the conditions for exit from watchlist have been met.  This is not something that Oceanus can represent.  In the same way, only the examiner (not the student) can state that the student has satisfied all conditions to graduate.  We though however have insight to the performance of Oceanus towards satisfying those conditions.  Thus far from Oceanus Q4 2020 earnings, those conditions appear to be satisfied.  We are waiting for the audit report to confirm the numbers. ii) No one knows on the exit offer in the event of a delisting.  It depends on the negotiations between a potential buyer and Oceanus' management and major shareholders.  You may refer to my post on Investing Note for an elaboration:  https://www.investingnote.com/posts/2211326 iii)  If you solely look at PE ratio alone, it is difficult to conclude that the current price is " fair" .  Neither is it accurate to say it is " overvalued" .  PE ratios are most meaningful in evaluating " slow grower" type of companies that have mostly developed their revenue streams and maintaining the course.  Oceanus is not a slow grower company, but a turnaround with an asset play.  PE ratios for turnarounds tend to be the highest (alongside fast growing companies).  Some investors believe in buying only in stocks with " low PEs" , but that strategy makes no sense to me.  We simply cannot compare apples to oranges.    In addition, because of the extraordinary amount of outstanding shares, the earnings have a minimal impact on a per share basis, affecting the PE ratio again.  This does not mean Oceanus is necessarily overvalued.  It' s Revenue increased 855% and EBITA increased 346% year-on-year.  Yes, I would read that again.  I am hardpressed to find such an improved performance in any company.  Those figures are spectular, to say the least, and indicate the growth potential of Oceanus towards justifying a higher PE ratio. In short, PE ratio itself is not sufficient to determine whether Oceanus' s current price is " fair" .  The same way the current PE ratio of Tesla at 1000x does not deter investors from buying the dip since months ago.  Instead, I would encourage potential investors to consider CEO Peter Koh and the biggest shareholder buying at 0.041 and 0.042 respectively.  There' s no better tip-off to the probability of success of a company than the people in the company putting their own money into it.  Insiders only buy if they think the current share price is undervalued compared to what they know lies ahead for the company.  When insiders buy such a significant amount, you can be certain that at a minimum, the company will not go bankrupt within the next 6 months.  If the share price drops after insiders have bought (such as now), so much better for us!  I have gladly scooped another bag at 0.038 and am waiting to rotate more funds into Oceanus. If you are worried that the audit report on 15 April 2021 will provide any cause of concern for exit of watchlist, then you could buy half your position now and half after if the results are positive.  I can' t comment much because I don' t know your financial situation, but I am certainly buying at this price

I am hesistant to buy on its potential now because future ahead is full of red flags/uncertainties regarding stock mkts trend worldwide. Good luck. APPROVAL OF FURTHER EXTENSION AND CONDITIONS IMPOSED BY SGX-ST The SGX-ST has on 11 March 2021 informed the Company that SGX-ST has no objection to the Company' s application for a further extension of time to 15 April 2021 to meet the Financial Exit Criteria (&ldquo Waiver&rdquo ), subject to the following conditions (&ldquo Waiver Conditions&rdquo ): (a) the Company announcing the Waiver granted, the reasons for seeking the Waiver, the conditions as required under Rule 107 of the Listing Manual and if the Waiver conditions have been satisfied. If the Waiver conditions have not been met on the date of the announcement, the Company must make an update announcement when the conditions have all been met (b) submission of a written undertaking from the Company (the " Company Undertaking" ) that in the event the Company does not meet the requirements of Rule 1314 of the Listing Manual to exit the Watch-List, it will provide an exit offer to the Company' s shareholders which is fair and reasonable and includes a cash alternative as the default alternative in compliance with Rules 1306, 1308 and 1309 of the Listing Manual and (c) disclosure via SGXNet of the Company Undertaking. The SGX-ST has also informed the Company that it will not consider any further extension of time for the Company to meet the Financial Exit Criteria and, if the Company is unable to fulfill Financial Exit Criteria by 15 April 2021, the company is to provide an exit offer and will subsequently be delisted form the SGX-ST."
