Big huat to u OngBak      ( Date: 01-Jan-2021 08:14) Posted: The Board of Directors (the ?Board?) of Alset International Limited (the ?Company?) wishes to announce that the number of ordinary shares in the capital of the Company (?Shares?) has increased from 1,549,909,946 to 1,769,909,946 Shares, following the allotment and issue of 220,000,000 new ordinary shares in the capital of the Company (the ?New Shares?) at an exercise price of S$0.04 for each New Share on 30 December 2020 pursuant to the exercise of 220,000,000 unlisted warrants issued on 21 October 2016 (the ?2016 Warrants?). The 220,000,000 New Shares shall rank pari passu in all respects with the existing Shares, except that they will not rank for any dividends, rights, allotments or other distributions the record date for which falls before the date of allotment and issue of the New Shares (i.e. 30 December 2020). The 220,000,000 New Shares are expected to be listed and quoted on the Catalist Board of the SGX-ST on 4 January 2021 and trading of the 220,000,000 New Shares is expected to commence from 9.00 a.m. on the same date. Following the exercise of 220,000,000 2016 Warrants into 220,000,000 New Shares, there are 164,111,206 2016 Warrants outstanding as at 30 December 2020. Last time they pump high high then flush down the toilet bowl then chu pattern.. now they chu pattern first but havent flush the toilet bowl. I wonder why? (the ?Company?) exercised warrants held by the Company to purchase 220,000,000 shares of Alset International Limited at an exercise price of S$.04 per share (the ?Warrant Exercise?). The total consideration paid for this exercise was S$8,800,000 (Singapore Dollars), equal to approximately U.S. $6,643,727 as of December 30, 2020. Prior to this Warrant Exercise, the Company owned approximately 51.0% of Alset International Limited. Following the Warrant Exercise, the Company now owns approximately 57.1% of Alset International Limited. Mr. Chan Heng Fai is both Chairman of the Board and the Chief Executive Officer of the Company and the Chairman and Chief Executive Officer of its subsidiary Alset International Limited, as well as a significant shareholder of both the Company and Alset International Limited. Following the Warrant Exercise, Mr. Chan owns 183,989,200 shares of Alset International Limited (both directly and through an entity) this represents approximately 10.4% of the outstanding shares of Alset International Limited. In addition, Mr. Chan holds warrants to purchase 1,576,925,000 shares of Alset International Limited and options to purchase 1,061,333 shares. Document Security Systems, Inc., a company that the Company has a significant ownership position in, also owns 127,179,311 shares of Alset International Limited following the Warrant Exercise, this represents approximately 7.2% of the outstanding shares of Alset International Limited. Accordingly, Mr. Chan recused himself from any deliberation or vote regarding any potential exercise of warrants to purchase shares of Alset International Limited. The Audit Committee of the Company?s Board of Directors reviewed, approved and determined that it is advisable and in the best interests of the Company to complete the Warrant Exercise as described above.
