The Profit Guidance announcement in Aug 05-Aug-2014 17:12:17 Profit Guidance VARD HOLDINGS LIMITED (Incorporated in the Republic of Singapore) (Registration No. 201012504K) TAX CLAIM RECEIVED The Board of Vard Holdings Limited (the " Company" and together with its subsidiaries, the &ldquo Group&rdquo ) wishes to inform that the Company has received a tax claim for FY2010 from tax authorities in Brazil, and is evaluating the need for provisions for additional tax cost. In a matter relating to transfer pricing of goods and services delivered from the Group&rsquo s Norwegian entities to Vard Niteró i in FY2010, and tax treatment thereof, the Company has been notified that Brazilian authorities have concluded a tax assessment resulting in an additional tax claim of approximately NOK 200 million including penalties and interest accrued. The diverging assessment originates from conflicting Brazilian transfer pricing rules, which have only been aligned as from FY2013. The Company will file an appeal against the ruling, and no payments are expected to be made before a final conclusion of the case, which may take several years. No provisions have previously been made for this claim as such unfavorable assessment was deemed highly unlikely, based on legal and tax advice received by the Company. The Company is currently reassessing the probabilities for the outcome of the tax dispute, and the need for provisions in its financial accounts. Further details will be disclosed latest when the Company announces the unaudited results for the third quarter ending 30 September 2014. Those with stable dividend counters one just stay low and quietly collect the dividends for now. Most importantly, do no fight the market trend!

Previously the stk px dropped as they announced they will make provisions for the tax claim. Now they said no provisions will be made and yet the px fall like roller coaster... damn dirty the management... so that they gets good bonus whereas we get nothing, no dividend nothing!!! PROFIT GUIDANCE FOR 3Q 2014 ENDING 30 SEPTEMBER 2014 The Board of Vard Holdings Limited (the " Company" and together with its subsidiaries, the &ldquo Group&rdquo ) wishes to make reference to the 2Q 2014 financial results announcement for the period ended 30 June 2014, announced on 22 July 2014, where the Company highlighted the importance of improved throughput and productivity development at the new Vard Promar shipyard in Brazil, and reported stable operations in Europe. In Brazil, significant investments have been made in strengthening the organization in order to reach production targets at Vard Promar. However, slower-than-expected improvements in throughput and productivity at the new shipyard are impacting profitability during the ramp-up phase. Additional cost was also incurred for the two vessels in the Promar order book that were built at a third-party yard and are currently undergoing outfitting at Vard Niteró i. During the third quarter, the overall performance of the European shipyards was stable and the Group benefits from the close cooperation between its Romanian and Norwegian yards. Nevertheless, the Group has revised its estimates for a limited number of projects in its European order book where cost overruns were incurred. As a result of mitigating actions taken, no impact on the delivery schedule is expected. Resulting from the above, the Company expects a marginally negative EBITDA result for the third quarter ending 30 September 2014 (&ldquo 3Q 2014&rdquo ). Separately, regarding the tax claim received from authorities in Brazil and announced on 5 August 2014, the Board wishes to clarify that following further assessment of its legal position, the Company intends not to make any provisions for the tax claim in its financial accounts. |

What I interept is this qrt profit warning, so no provision (NOK200mil) will be made due to losses. As usual there will be no div. I forseen next qrt they will make provision so no div given while the management take fat bonus. Sibeh Jialat.
