It does not mean they are acting on behalf of the Offeror.

Imagine, MVN is accumulating for Fincantieri and out of the sudden, they managed to clock more than 90%.   MVN may have been buying over the offer price but the spread could well be their " fee" . A hedge fund has been buying up shares in Vard Holdings at above the offer price being offered by Fincantieri, TradeWinds has learnt. MVN Asset Management had acquired a 5.7% stake in Vard as of 2 February, according to regulatory filings to the Singapore Exchange. The London-based company, which was only set up in 2015, says its focus is on what it describes as &ldquo equity event driven strategies across the globe, with a focus on Europe&rdquo . Fincantieri, which already controls around 72.3% of the Singapore-listed shipbuilder, is offering minority shareholders just SGD 0.24 ($0.168) per share. However, MVN Asset Management has already been paying higher than this level since it started buying Vard shares in late January. Fincantieri was recently urged to raise its offer for Vard by a Singapore-based investor support body who said minority shareholders had expressed concerns about the low offer price.  Last week the Securities Investors Association Singapore (SIAS) said it had &ldquo received concerns&rdquo from minority shareholders about the offer.

Fincantieri keep extending deadlne but unwilling to raise price.   I suspect Fincantieri really wants to take VARD private before the FY results are out becos it will be good.   price has also been creeping up anf MVN keeps buying.   But MVN is an associate of VARD so are they accumulating for Fincantieri? nooovva      ( Date: 02-Feb-2017 23:54) Posted: Legally, they are allowed to extend indefinitely once the offer is unconditional.   But something to cheer for now. From my understanding is that they are opening the Offer extension till 2 Feb to accept the Offer again. The also allow you to withdraw the Offer Acceptance previously submitted within 8 days Thereafter depending on the " final" acceptance level , if above 90% compulsory acquisition.. If no, they reserve the right to reduce the Acceptance condition to a lower level which is more than 50%. In this case they already satisfy the condition which they already have more than 55.6% ! If assuming no one withdrawing as at 29Dec annc, then the acceptance should be 16.3% + 55.6% = they have 71.9% confirmed on hand. How to reduce from its current acceptance holding 71.9% to just above 50%  which means they have to dispose 20%  off to just above  50%+ holding Doesn' t sound right mind to me after so much work to acquire it they decided to hold just 50% at the end. Simply what they mean only they can hold anything above 50% up to 89% if they cannot attain 90% to compulsory acquire  all the remaining shares. Are they trying to cause confusion or panic to small shareholders to throw in towels to them ? What i dislike is that Clause 4.1.. Offer .. such date(s) may be annouced from time to time.... Is SGX reading this, can the rules allow them to keep extending the date  to no END ! Ridiculous ! Is this our world class exchange allowing all the listed co to take advantage of smaller investors interest! SIAS can please  look into this!
